Startup funding labels are not interchangeable legal instruments. Before comparing equity, CCPS/CCD, convertible notes, SAFE-like contracts or debt, map the actual rights and applicable Companies Act, FEMA/FDI, tax, valuation, securities and contractual requirements.
- Identify issuer/investor residence, instrument terms, conversion/valuation mechanics and board/shareholder approvals.
- For foreign investment, verify the current FEMA/non-debt/debt instrument route and reporting rather than relying on a generic startup template.
- Model dilution and liquidation/economic rights from the signed terms—not merely the headline valuation.
- Separate a founder-friendly commercial explanation from legal/tax execution advice and link current official sources at execution time.
