Cap Table Hygiene: Founder Dilution, ESOP Pool and Investor Rights

A cap table is not just a percentage chart. It is a financial model, a legal reconciliation and an investor-rights map. A founder may still own 60% of issued equity but materially less on a fully diluted basis after the ESOP pool, conversion of preference shares and outstanding instruments.
Issued ownership, as-converted ownership and fully diluted ownership answer different questions.
Equity, preference shares, convertibles, warrants and ESOPs cannot be collapsed into one row.
Liquidation preference, anti-dilution and conversion terms can matter more than headline percentage.

2. CFO playbook
- Maintain an instrument master with issue date, holder, quantity, face value, price, conversion formula, seniority and key rights.
- Separate ESOP pool authorised, granted, vested, exercised, lapsed and available.
- Model pre-money and post-money ESOP-pool treatment explicitly in every financing scenario.
- Reconcile each transaction to Board/shareholder approval, PAS-3, register, certificate/depository statement and bank receipt.
- Track reserved matters, information rights, pro-rata rights, ROFR/ROFO, tag, drag and anti-dilution in a rights matrix.
- Run exit waterfalls at multiple valuations; do not infer economics from ordinary-share percentages.
- Lock monthly versions and require dual approval for any cap-table change.

3. Practical example
Founders own 80 lakh equity shares, an investor holds 20 lakh CCPS convertible 1:1, and the company has a 10 lakh ESOP pool with 4 lakh granted. Issued equity shows founders at 80%. On an as-converted basis they are 66.7%. On a fully diluted basis including the full pool, they are 61.5%. Each percentage is correct for a different purpose.
