APPLICATION OF GENERAL CLAUSES ACT THE DELHI SHOPS AND ESTABLISHMENTS ACT, 1954 (7 of 1954) [19th June, 1954] PREAMBLE An Act to amend and consolidate the law relating to the regulation of hours of work, payment of wages, leave, holidays, terms of service and other conditions of work of persons employed in shops, commercial establishments, establishments for public entertainment or amusement and other establishments and to provide for certain matters connected therewith. It is hereby enacted as follows:— 1. Short title, extent, commencement and application.—(1) This Act may be called the Delhi Shops and Establishments Act, 1954. (2) It extends to the whole of Union Territory of Delhi. (3) It shall come into force on such date1 as Government may, by notification in the Official Gazette, appoint in this behalf. (4) It shall apply in the first instance only to the Municipal Areas, Notified Areas and Cantonment limits of Delhi, New Delhi, Shahadra, Civil Lines, Mehrauli, Red Fort and Delhi Cantonment but Government may, by notification in the Official Gazette, direct that it shall come into force in any other local area or areas or shall apply to such shops or establishments or class of shops and establishments in such other areas as may be specified in the notification. COMMENTS The Act, which received the assent of the President on 19th June, 1954, came into force with effect from the 1st of February, 1955, vide Notification No. F.5/51-1 & L, dated 17th January, 1955. The Act will apply only in Delhi and not outside Delhi. The provisions of the Act will apply to the shops and establishments located in Delhi and not to any establishment working outside Delhi. Thus, the office which the petitioner had in Iraq by itself cannot be termed as an establishment to be covered under the Act. Also it has been held by the Delhi High Court that the mere fact that the business of the petitioner is being carried on from that office so the petitioner’s officer in Delhi could not be treated as an establishment to be covered under the Act; Bhandari Builders Pvt. Ltd. v. M.K. Seth, 1988 (15) DRJ 77 (SN). The Supreme Court has observed that the preamble is a key to the enactment and it may legitimately be construed to solve any ambiguity or to fix the meaning of words which may have more than one, or to keep the effect of the statute within its real scope, whenever the enacting part is in any of these respects open to doubt. The scope of the Act is a progressive piece of legislation and design to settle the disputes on a new pattern hitherto intention to judicial machinery set in the country. The object of all labour legislation is to ensure fair wages and to prevent disputes so that production might not be adversely affected. 2. Definitions.—In this Act, unless the context otherwise requires,— (1) “adult” means a person who has completed his eighteenth year of age; (1A) “apprentice” means a person, who is employed, whether on payment of wages or not, for the purpose of being trained in any trade, craft or employment in any establishment; (2) “child” means a person who has not completed his twelfth year of age; (3) “close day” means the day of the week on which a shop or establishment remains closed; (4) “closing hour” means the hour at which the shop or commercial establishment closes; (5) “commercial establishment” means any premises wherein any trade, business or profession or any work in connection with, or incidental or ancillary thereto is carried on and includes a society registered under the Societies Registration Act, 1860 (21 of 1860), and charitable or other trust, whether registered or not, which carries on any business, trade or profession or work in connection with, or incidental or ancillary thereto, journalistic and printing establishments, contractors and auditors establishments, quarries and mines not governed by the Mines Act, 1952 (35 of 1952), educational or other institutions run for private gain, and premises in which business of banking, insurance, stocks and shares, brokerage or produce exchange is carried on, but does not include a shop or a factory registered under the Factories Act, 1948 (43 of 1948), or theatres, cinemas, restaurants, eating houses, residential hotels, clubs or other

Short Title.- These rules may be called the Delhi Shops and Establishments Rules, 1954. 2. Definitions.- In these rules unless the context otherwise requires :- (a) " Act" Delhi Shops & Establishments Act, 1954; (b) "Form " means a form appended to these rules; (c) "Section'. means a section of the Act: (d) "Schedule" means a schedule appended to these rules; (e) Words and expressions used in the Act and not defined in these rules shall have the meanings assigned to them in the Act 3. Form of submitting a statement, the fees and other particulars under sub section (1) of Section 5.- Within 90 days from the date mentioned in column 2 in respect of Establishments mentioned in column 1, the occupier of the establishment shall send to the Chief Inspector a statement in Form " A " together with 1[prescribed fee paid in cash not exceeding one hundred rupees] [or a crossed postal order] in token of payment of such fees as are prescribed in Schedule I :- Establishments Date from which the period of 90 Days to commence (i) Establishments existing in areas to which The date on which the Act comes into the Act is applicable on the date on which force the Act comes into force. Manner of registering establishments and form of registration certificate:- On receipt of the statement and the fees prescribed in Rule 3, the Chief Inspector shall, on being satisfied about the correctness of the statement, register the establishment in appropriate part of the Register of Establishments in Form "B " and shall issue a registration certificate in Form 'C' to the occupier of the establishment 1. Renewal of Registration Certificate.- (1) A Registration Certificate shall be renewed at an interval of every [twenty one years] [on payment of fee prescribed in column 4 of Schedule I.] (2) Every application for renewal shall be made in Form 'L' within 30 days of the expiry of the Registration Certificate originally granted or subsequently renewed. [5.A. Issue of Duplicate Registration Certificate.-In the event of loss or mutilation of a registration certificate issued under Rule 4 or renewed under Rule 5 above, a duplicate Registration Certificate shall be issued in Form 'C' marked 'Duplicate ' on an application made by the occupier of the establishment and on payment of a fee of .[Rs. 3]]. 6. Forms of notifying a change and fees.- The occupier shall notify to the Chief Inspector in Form 'D' any change in respect of any information contained in part I of his statement prescribed under Rule 3 within fifteen days after the change has taken place. The notice in Form 'D' shall be sent to the Chief Inspector with such fee as are prescribed in Schedule II.] 7. Overtime working.- (i) Other purposes for which overtime may be worked-An employer may require an adult employee to work overtime subject to the conditions laid down in section 8, for any of the following additional purposes :- (a) Seasonal pressure of work; (b) Work in pursuance of any custom or usage observed in the establishment; (c) Temporary increase in work due to absence of any other employee or any other emergency; (d) Treating of material liable to deterioration, if not treated immediately; (e) Work necessitated as a result of any order from Court or any Government authority; (ii) Advance

(1) This Act may be called the Gujarat Shops and Establishments Short title, extent, (Regulation of Employment and Conditions of Service) Act, 2019. application and commencement. (2) It extends to the whole of the State of Gujarat. In this Act, unless the context otherwise requires,- (a)"day" means the period of twenty-four hours beginning at midnight; (b) "employer" means a person owning or having controlover the affairs of an establishment, and includes,- (i) in the case of a firm or association of individuals, a partner or member of the firm or association; (ii) in the case of a company, a director of the company; (iii) in the case of an establishment owned or controlled by the Central Government or a State Government or any local authority, the person or persons appointed to manage the affairs of such establishment by the Central Government or the State Government or the local authority, as the case may be; (c) "establishment" means an establishment which carries on, any business, trade, manufacture or any journalistic or printing work, or business of banking, insurance, stocks and shares, brokerage or exchange or profession or any work in connection with, or incidental or ancillary to, any business, trade or profession or manufacture; and includes, - (i) establishment of any medical practitioner (including hospital, dispensary, clinic, polyclinic, maternity home and such others), architect, engineer, accountant, tax consultant or any other technical or professional consultant; PART IV] GUJARA T GOVERNMENT GAZETTE, EX., 07-03-2019 4-3 XXI of 1860. (ii) a society registered under the Societies Registration Act, 1860, and a charitable or other trust, whether registered or not, which carries on, whether for purposes of gain or not, any business, trade or profession or work 10 connection with or incidental or ancillary thereto; (iii) shop, residential hotel, restaurant, eating house, theatre or other place of public amusement or entertainment; to LXIII of 1948. whom the provisions of the Factories Act, 1948 do not apply; (iv) such other establishment as the State Government may, by notification in the Official Gazette, declare to be an establishment for the purposes of this Act; (d) "factory" means any premises and the precincts thereof which is a factory within the meaning of clause (m) of section 2 and LXIII of 1948. section 85 of the Factories Act, 1948; (e) "holiday" means a day on which a WOller shall be given a weekly off under the provisions of this Act; (t) "Inspector" means an Inspector appointed under section 24; (g) "leave" means a leave mentioned in Chapter IV of this Act; (h) "local authority" means,- (i) a Municipal Corporation constituted under the Born. LIXof 1949. Gujarat Provincial Municipal Corporations Act, 1949; (ii) a Municipality constituted under the Gujarat Guj.34 of 1964. (f) “Schedule” means the Schedule appended to these rules; (g) “Section” means a section of the Act. (2) Words and expressions used in these rules but not defined hereinabove shall have the same meanings as are respectively assigned to them in the Act. 3. Application for Registration of Establishment. - The employer of every establishment engaging ten or more workers shall submit application in Form-A for registration of the establishment as per section 6 of the Act along with the required documents as specified in Part- A of the Schedule. The application may be submitted online where online access is available. 4. Payment of Fees. - The fees to be paid along with the application for registration in Form-A by the establishments employing ten or more employees shall be as specified below: Sr. Fees to be paid Category of Establishment No. in Rs. 1. Manner of Registration of Establishment. - (1) Every application submitted either online or otherwise in Form-A for registration of establishment may be assigned to any of the inspector concerned, who shall scrutinize the applications, documents either uploaded online or submitted otherwise and the fees paid either through e-payment or otherwise along with the details mentioned in the application. If the application is complete in all respects and supported with all the required documents, prescribed fees, he shall either sign digitally or issue otherwise the certificate of registration, which shall be in Form-B within one day either from the date the application appears on the dashboard of the inspector or received otherwise by the inspector. The entry of the establishment which is registered shall be made in the Register of Establishment to be maintained in Form-C. SCHEDULE **** STATEMENT OF OBJECTS AND REASONS Act 8 of 1962.- At present the Madras Shops and Establishments Act, 1947, is in force in Madras area. The Mysore Shops and Establishments Act, 1948, is in force in the Mysore area. The Hyderabad Shops and Establishments Act, 1957, is in force in Hyderabad area and the Bombay Shops and Establishments Act, 1948, is in force in the Bombay area. It is considered expedient to have a uniform law in the State of Mysore for the regulation of the terms and conditions of work and employment in shops and commercial establishments. The Government of India had circulated a Draft Bill for consideration of State Governments to initiate legislation on similar lines where necessary. Both these objects will be served by enacting legislation on the lines of this Bill. (Published in the Karnataka Gazette (Extraordinary) Part IV-2A dated 12th February 1959 as No.2653 at page. 32.) Amending Act 36 of 1966.—According to sub-section (2) of section 39 of the Act, all appeals by employees removed or dismissed from service lie to the prescribed authority or if no authority is prescribed, to the Commissioner of Labour. This means that only one appellate authority for the entire State has to deal with the appeals involving much difficulty and inconvenience to all persons concerned. It is considered necessary to amend the Act to provide for appeals to different authorities in different places depending on the area from which the appeal arises and the class or category to which an establishment belongs. It is also considered necessary to provide for the transfer of appeals under section 39 (2) pending before the Commissioner of Labour to the appropriate appellate authority. Hence this Bill. (Published in the Karnataka Gazette (Extraordinary) Part IV-2A, dated 22nd November 1966 as No. 193 at page. 4.) III Amending Act 4 of 1969.—It is proposed to provide for supervision of the work of Labour Inspectors who are appointed as Inspectors under the Mysore Shops and Commercial Establishments Act, 1961, by the Assistant Labour Commissioners and the Labour Officers. This cannot be done unless the Assistant Labour Commissioners and Labour Officers are also made Inspectors under the said Act. There is no provision for the appointment of the Additional Inspector under the Act, and it is proposed to provide for such appointments. The Mysore Maternity Benefit Act 1959 has been repealed and the Maternity Benefit Act 1961 (Central Act 53 of 1961) has been brought into force. It is therefore necessary to amend Chapter V of the Act suitably. Hence the Bill. (Obtained from file LAW 81 LGN 67.) Amending Act 33 of 1982.—In his Budget speech for the year 1982–83 the Finance Minister indicated that in the interest of revenue and for better enforcement of the provision of the Act annual renewal of the registration of shops and commercial establishments would be provided under the Karnataka Shops and Commercial Establishments Act, 1961. The provision for renewal also facilitates maintenance of up-to date statistics of such establishments and would also result in better conditions of service for the employees. Hence the Bill. Amending Act 17 of 1986.—The Food Corporation of India is a key Organisation in the food grains distribution programme in the State. The establishments of the said Corporation are exempted from the provisions of the enactments similar to that of the Karnataka Shops and Commercial Establishments Act, 1961 in many of the States/Union territories in India. It is considered, therefore, necessary to exempt this Organisation from the provisions of the Karnataka Shops and Commercial Establishments Act, 1961, as is done in the case of Postal, Telegraphic or Telephone Service etc., and organisations which supply power, light or water etc., to the public. Definitions. - In this Act, unless there is anything repugnant in the subject or context,- (1) "apprentice" means a person, aged not less than twelve years, who is employed, whether on payment of wages or not, for the purpose of being trained in any trade, craft or employment in any establishment; (2) "closed" means not open for any purpose whatsoever; (3) "commercial establishment" means a commercial or trading or banking or insurance establishment, an establishment or administrate service in which the persons employed are mainly engaged in office work, a hotel, a restaurant, boarding or eating houses, cafe or any other refreshment house, a theatre or any other place of public amusement or entertainment and includes every such establishment as the State Government may, by notification in the Official Gazette, declare to be a commercial establishment for the purposes of this Act; (4) "day" means the period of twenty-four hours beginning at midnight: Provided that, in the case of an employee whose hours of work extend beyond midnight, 'day' means the period of twenty-four hours beginning from the time when such employment commences irrespective of midnight; (5) "employee" means a person wholly or principally employed in, or in connection with any establishment and includes an apprentice but does not include a member of the employer's family; it also includes any clerical or other staff of a factory or industrial establishment who falls outside the purview of the Factories Act, 1948 (Central Act LXIII of 1948); (6) "employer" means a person having charge or or owning or having ultimate control over the affairs of an establishment and includes the manager, agent or other person acting in the general management or control of an establishment; (7) "establishment" means a shop or a commercial establishment; (8) "family" in relation to an employer means the husband or wife; son, daughter, father, mother, brother or sister of such employer who lives with, and is dependent on him; (9) "Inspector" means an Inspector appointed under the Act; (10) "leave" means leave provided for in Chapter IV of the Act; (11) "night" means a period of at least twelve consecutive hours which shall include the interval between 10 p.m. and 6 a.m. (12) "opened" means opened for any purpose whatsoever; (13) "period of work" means the time during which an employee is at the disposal of the employer; [(14) "prescribed authority" means the authority as may be notified by the State Government in the Official Gazette from time to time.] (15) "register of establishments" means a register maintained for the registration of establishments under this Act; (16) "registration certificate" means a certificate showing the registration of an establishment; (17) "shop" means any premises where any trade or business is carried on or where services are rendered to customers, and includes offices, store-rooms, godowns or ware-houses, whether in the same premises or otherwise, used in connection with such trade or business but does not include a commercial establishment or a shop attached to a factory where the persons employed in the shop are allowed the benefits provided for workers under the Factories Act, 1948 (Central Act LXIII of 1948); (18) "spread-over" means the period between the commencement and the termination of the work of an employee on any day; (19) "State" or "State of Rajasthan" means the new State of Rajasthan as formed by Section 10 of the States Re-organisation Act, 1956 (Central Act 37 of 1956); (20) "Work" means the period of seven days beginning at midnight of Saturday or such other day as may be approved in writing for a particular area by the prescribed authority; (21) "Year" means a year commencing on the first day of January. 3. Exemptions. - (1) Nothing in the Act shall apply to- (a) offices of or under the Central or any State Government or local authorities; (b) offices of the Reserve Bank of India; (c) establishments for the treatment or the care of the infirm, or the mentally unfit; (d) persons whose work is inherently intermittent such as travellers or caretakers; (e) fairs or bazars for sale of work for charitable or other purposes from which no private profit is derived; and (f) libraries at which the business of lending books or periodicals is not carried on for purposes of gain other than that of making profit for charitable, philanthropie, religious or educational objects. (2) The State Government may, by notification in the Official Gazette, exempt either permanently or for any specified period any establishment or class of establishments or person or class of persons, to which or to whom this Act applies, from all or any of its provisions, subject to such conditions as the State Government may deem fit. WHEREAS it is expedient to provide for the regulation of conditions of work in shops, commercial establishments and for certain other purposes; it is hereby enacted as follows: 1. Short title, extent and commencement (1) This Act may be called the Tamil Nadu Shops and Establishments Act, 1947 (2) It extends to the whole of the 1[State] of Tamil Nadu. Ms. No. 5484, Development, 5th November, 1948, as subsequently amended) In exercise of the powers conferred by sub-section (1) of section 49 of the Madras Shops and Establishments Act, 1947, (Madras Act XXXVI of 1947), His Excellency the Governor of Madras hereby makes the following rules, the same having been previously published as required by sub-section (3) of that section: RULES 1. Short title and extent—(1) These rules may be called the Tamil Nadu Shops and Establishments Rules, 1948 (2) They extend to the whole of the State of Tamil Nadu including the Kanyakumari district and the Shencottah taluk of the Tirunelveli district and the territories specified in the Second Schedule to the Andhra Pradesh and Madras (Alteration of Boundaries) Act, 1959 (Central Act 56 of 1959. 2. Definitions—In these rules, unless there is anything repugnant in the subject or context,-- (a) “the Act” means the Tamil Nadu Shops and Establishments Act, 1947; (b) “Form” means a Form appended to these rules; (c) “Government” means the Government of Tamil Nadu; (d) “Section” means a section of the Act; (e)Words and expressions used in the Act and not defined in these rules shall have the meanings assigned to them in the Act. 3. Inquiry by Government before passing orders fixing opening and closing hours of shops.—(1) The Government shall make the inquiry under sub-section (2) of section 7 in the manner specified in sub-rules (2) to (4). (2) Before passing an order under sub-section (1) of section 7, the Government shall give notice of their intention to pass such order. The notice shall be in Form A and shall, unless a copy of the order proposed to be passed is annexed to it, specify the area and the shop or shops or class or classes of shops to which the order shall apply, the hours of opening or the hours of closing or both which are proposed to be fixed and the days in respect of which such hours are so proposed to be fixed. The notice shall also state that objections and suggestions with respect to such orders, if any, may be sent to the officer mentioned in the notice within one month from the date of publication of such notice in the Tamil Nadu Government Gazette. (3) The notice shall be published in the Tamil Nadu Government Gazette. (4) The Government shall consider all objections and suggestions received under sub-rule (2) before passing any order under sub-section (1) of section 7. 4. Inquiry by Government before passing orders fixing opening and closing hours of establishments other than shops.—The provisions of rule 3 shall mutatis mutandis apply to an inquiry to be made by the Government under sub-section (2) of section 13. 5. Cleanliness.—(1)(a) In every establishment all the inside walls of the rooms and all the ceilings of such rooms whether such walls or ceilings be plastered or not and all the passages and staircases shall be lime-washed or colour-washed at intervals of not more than twelve months dating from the time when they were last lime-washed or colour- washed and shall be maintained in a clean state. (b) All beams, rafters, doors, window-frames and other wood-work with the exception of floors shall be either lime-washed or colour-washed at intervals of not more than twelve months dating from the time when they were last lime-washed or colour- washed or shall be painted or varnished at intervals of not more than seven years dating from the time when they were last painted or varnished and shall be maintained in a clean state. (c) This sub-rule shall not apply to the following:- (i) rooms used only for the storage of articles; (ii)walls or ceilings of rooms which are made of galvanised iron, flat tiles, asbestos sheets, glazed bricks, glass, slate, bamboo thatch, cement plaster or polished chunam; (iii)ceilings of rooms in which the lowest part is at least 6 metres from the floor; (iv)any other establishment or part thereof in which lime-washing, colour- washing, painting or varnishing is, in the opinion of the Commissioner of Labour, unnecessary to satisfy the requirements of section 20 in regard to cleanliness. (2) Rubbish, filth or debris shall not be allowed to accumulate or to remain on any part of the establishment for more than 24 hours and shall be disposed of in the manner approved by the Inspector. All filth and other decomposing matter shall be kept in covered receptacles. (3) All drains carrying waste or sullage water or sewage shall be constructed of masonry or other impermeable material and shall be regularly flushed at least twice daily and where possible, connected with some recognised drainage line. (4) The establishment and the compound surrounding it shall be maintained in a strictly sanitary and clean condition. The floors shall be swept or otherwise cleaned at least once daily, and the ceilings shall be dusted at least once a month. (5) The employer shall enforce the proper use of latrines and urinals and prevent pollution by excreta or urine of the surface of the ground in the vicinity of the latrine or urinal and in the compound of the establishment. The employer shall make suitable arrangements for the regular cleaning and conserving of the latrines and urinals to the satisfaction of the Inspector. (6) The area around the place where drinking water is distributed to the workers shall be kept clean and properly drained. 6. Ventilation.—In every room of an establishment ventilating opening shall be provided in the proportion of 0.5 square metre for each worker employed in such room and the opening shall be such as to admit of a continued supply of fresh air: Provided that subject to the control of the Commissioner of Labour, the Inspector may, for reasons to be recorded in writing, relax the conditions of this rule where, in his opinion, this may be done with due regard to the health of the workers employed in any room. 7. Precautions against fire.—The employer of every establishment shall adopt such precautions against danger by fire to the life of persons employed therein as are considered adequate by the Inspector. 8. Appeals from orders passed under Chapter V of the Act.—The Commissioner of Labour shall be the appellate authority for the purpose of hearing appeals from orders passed by the Inspector under Chapter V of the Act

Verify the employer/occupier/manager, authorised signatory and local registering or inspecting authority. Central policy approval does not replace State registration, licence, notice or display requirements.

State stamp duty and registration are transaction-specific and may differ materially across States. Check the situs, instrument type, consideration and execution method; labour registration is a separate compliance layer.

Evidence and document-retention checklist

Retain the operative law/rule version, classification note, approvals, signed instruments, statutory forms, portal acknowledgements, registers, calculations, bank proof, correspondence, inspection records, service proof, decision and appeal file. Apply the longer of the statutory retention rule, litigation hold, tax/audit need and contractual requirement; restrict access to personal and sensitive data.

Performance, delivery and payment controls

Use a location-wise compliance calendar and evidence folder covering registrations, renewals, registers, payroll, leave, displays, welfare, inspections and closure/relocation events.

Breach, loss, mitigation and remedy framework

On detecting a breach, stop continuing exposure, preserve evidence, quantify employee and government dues, identify affected persons, make lawful corrective payment/filing, notify the authorised decision-maker, assess self-disclosure or compounding where available, and reserve contractual recovery against responsible vendors without delaying statutory remediation.

Limitation and forum controls

Identify the State authority, appellate forum, labour court/tribunal or criminal court from the applicable enactment. Do not assume a central limitation period or forum.

Arbitration and mediation interface

Private mediation or arbitration may resolve commercial allocation, but cannot displace inspections, statutory employee rights, local authority orders or prosecution.

Company, partnership, GST and tax overlays

For a company, align board/delegation and officer-in-default controls; for an LLP or partnership, identify the designated partner/partner and authorised employer representative. Labour dues can affect transaction price, indemnities, director/partner exposure and insolvency claims. Salary/TDS, perquisite, contractor TDS, GST on outsourced services and accounting provisions must be reconciled without treating tax treatment as proof of labour-law classification.
