Warehouse, Cold Storage & 3PL Fulfilment
Practical India guide to Warehouse, Cold Storage & 3PL Fulfilment: approvals, setup, operating controls, taxes, cash flow, risks, closure, 28 FAQs and editable tools.
General business education. Use the activity, location and transaction facts for legal and tax decisions; illustrative figures are not promised returns.
The two-minute answer
First decision — Bonded Customs warehouse. Requires Customs licensing/control framework; regular commercial warehouse approval does not grant duty deferment. Second decision — Cold storage for dairy/meat. Temperature, sanitation, product safety and FSSAI category may apply along with electrical and refrigeration safety. Then execute — Classify warehouse activity and goods risks. Record dry storage, bonded warehouse, cold storage, food, pharmaceuticals, hazardous chemicals, ecommerce picking and third-party inventory ownership. Each can trigger a different approval set. Know the first escalation — Warehouse fire or smoke alarm. Evacuate, notify emergency responders, isolate chemicals safely, preserve inventory and CCTV evidence, contact insurer/client and comply with authority notices. Save a dated licence/authority determination, responsible owner, signed contract, evidence reference and next review date at every material step. This is the minimum practical answer before committing capital or promising a customer outcome.
Choose your exact model before applying
| Operating model | How it changes compliance | Minimum evidence |
|---|---|---|
| Dry general warehouse | Building use, fire safety, rack load, third-party bailment and stock reconciliation. | Lease, fire and warehouse contracts |
| Food/cold chain | FSSAI activity category, temperature and hygiene depend on storage role and products. | FoSCoS, traceability and temperature logs |
| 3PL e-commerce fulfilment | Stock/returns custody, picking, order sync and delivery liability. | WMS, client stock ledger, service level agreement |
| Warehouse receipt/bonded | WDRA/Customs regimes may apply when using regulated receipts or bonded storage. | Specific registration/authorisation and prescribed records |
Six practical steps — registration to operation
Define stock custody and premises use
List goods type, inflammability, food/pharma/bonded status, customer ownership, number of clients, entry/exit points, fire load, storage temperature, height/rack capacity and insurance. The business category must be determined before promising “bonded” or “FSSAI approved” storage.
Obtain applicable premises and operating permissions
Verify industrial/warehouse zoning, building occupancy, fire NOC, electric/load sanction, labour obligations and any State warehouses rules. If food cold storage/warehouse activities qualify as a food business, classify FoSCoS Kind of Business and check the 2026 FSSAI thresholds plus specific exceptions.
Create a documented bailment and service SLA
Contract who owns inventory, who bears deterioration/theft/temperature risk, maximum declared value, insurance, access, lien, delivery instruction authority, returns processing, damaged-goods disposal and audit access. Do not claim that a basic storage agreement automatically transfers product title.
Configure WMS and temperature controls
Scan goods on receipt, location transfer, picking, dispatch and return. Record SKU/batch/lot, expiry/FEFO where relevant, seal integrity, temperature excursions, quarantine and claims. Test disaster recovery and backup refrigeration for cold-chain customers.
Distinguish specialist regulatory regimes
If issuing negotiable warehouse receipts, verify WDRA framework and applicable registration; if operating Customs-bonded facilities, obtain separate Customs authorisation. Transport vehicles and e-way bills require their own control map.
Price storage versus service contribution
Charge and analyse pallet occupancy, space/cubic utilisation, pick-pack fees, reverse logistics, peak throughput, cold energy, spoilage and claims. A very high occupancy facility may still lose money if revenue per stored pallet is below insurance, utilities and handling cost.
Regulatory applicability and authority matrix
| Statute / regulator | What triggers it | What to verify | Keep on file |
|---|---|---|---|
| Building/fire and local warehouse rules | Actual premises, rack heights, storage hazard and public/industrial zoning. | Clear lawful use and fire/structural load. | Occupancy, fire and rack checks |
| FSSAI if food storage/cold chain | Food business categories may be triggered by handling/storage. | Map product and FoSCoS Kind of Business. | FSSAI status, temperature and hygiene |
| WDRA/Customs specialist statuses | Issuing regulated warehouse receipts or bonded storage. | Apply specialised regime only when activity actually falls inside it. | WDRA/Customs approvals and stock registers |
| GST/e-way and labour | Storage, handling, dispatch, transport and staff. | Separate invoice supplies and movement obligations. | WMS/e-way, payroll and safety records |
GST, income tax and cash-recognition decisions
| Transaction / obligation | Assessment and treatment |
|---|---|
| Storage rental/service | Classify property lease versus warehousing service from contract substance. |
| Pick-pack fulfilment | Separate handling, packaging and transport tax treatment where relevant. |
| Transport/cold chain | Services may have different rates and reverse-charge rules. |
| Damage and stock claims | Record customer stock liability, insurance recovery and financial provisions. |
Forms, registers and evidence checklist
| Document / record | What to include | Owner / authority |
|---|---|---|
| Premises | Fire/occupancy/racking layout and permitted use | Building file |
| Special status | FoSCoS/WDRA/Customs where applicable | Regulator file |
| Inventory | Client-owned goods, lot location, FEFO and cycle counts | WMS |
| Cold chain | Temperature, excursion, backup and maintenance logs | Quality file |
| Contracts/finance | SLA, stock claims, storage/pick revenue and owner reconciliation | Operations MIS |

Financial model: revenue, profit and cash are different
| Input or result | Value | Meaning |
|---|---|---|
| Monthly volume | 1,250 occupied pallet-months | Retained, accepted or billable output—not merely enquiries/dispatches |
| Realised price | ₹1,520 | Net of refunds and indirect tax |
| Variable cost per unit | ₹440 | Direct cash costs allocated to the same billable unit |
| Fixed operating cash cost | ₹890,000 | Excludes depreciation, finance charges and income tax |
| Contribution per unit | ₹1,080 | Price minus variable unit cost |
| Break-even volume | 825 occupied pallet-months | Fixed cost ÷ contribution, rounded up |
| Capacity utilisation | 62.5% | Volume ÷ illustrative safe/saleable capacity |
Worked calculation: 1,250 × (₹1,520 − ₹440) = ₹1,350,000 contribution; less ₹890,000 fixed cash costs leaves ₹460,000 before financing, depreciation, tax and capital expenditure. A 10% fall in volume alone reduces contribution by ₹135,000. A 10% rise in unit variable cost alone reduces it by ₹55,000.
Customer stock is not the warehouse operator’s inventory asset
A fulfilment warehouse reports high throughput but cannot reconcile customer-owned stock after a temperature excursion and a pick error. Storage rent is earned, yet the potential claim exceeds the month’s service margin.
Work through the decision
Keep ownership, location, lot, condition and movement records for each customer. Separate ordinary storage, food/cold-chain activity, bonded operations and negotiable warehouse-receipt activity before choosing the approval route. Define acceptance inspection, temperature limits, stock-count tolerances, claims and insurance responsibilities in the service agreement.
What to establish before proceeding
Price storage, handling and value-added services separately where their workload differs. Measure occupied saleable capacity and claim-adjusted margin. Do not represent a storage contract as WDRA registration or treat customer stock value as earned revenue.
| Operating measure | Definition and use |
|---|---|
| Occupied pallet-month contribution | Earned storage/handling income less variable servicing costs for actually occupied customer positions. |
| Stock accuracy | Book quantity and location reconciled to physical count by owner, lot and condition. |
| Temperature/claim exposure | Value affected by excursions or handling errors, with investigation and insurance recovery tracked separately. |
This example is Finin2min’s operating analysis. Its commercial assumptions are not quoted market terms or a permit determination.
Common mistakes and how to avoid them
- Calling every warehouse WDRA-registered. WDRA is activity/instrument-specific; verify before marketing.
- No proof of stock owner or condition. Creates disputes when goods arrive damaged or missing.
- Treating perishable stock like general cartons. Temperature, traceability and hygiene controls differ.
- Price only per square foot. Handling throughput and claims risk can dominate margin.
Practical 30/60/90-day implementation plan
| Period | Specific milestone |
|---|---|
| Days 1–30 | Map the goods, temperature and receipt/bonded status to premises and activity requirements. |
| Days 31–60 | Test inbound inspection, location records, stock counts, picking and excursion response before full occupancy. |
| Days 61–90 | Review claim-adjusted margins, pallet utilisation and customer reconciliation before taking larger stock commitments. |

Which business model changes the legal answer?
| Situation | Exact action and proof of decision |
|---|---|
| Bonded Customs warehouse | Requires Customs licensing/control framework; regular commercial warehouse approval does not grant duty deferment. |
| Cold storage for dairy/meat | Temperature, sanitation, product safety and FSSAI category may apply along with electrical and refrigeration safety. |
| Pharmaceutical distribution stock | Check State drug controller and GDP/qualified supervision requirements, in addition to premises. |
| WDRA electronic warehouse receipts | WDRA registration/e-NWR framework arises when offering regulated negotiable receipts; ordinary 3PL does not automatically issue them. |
| Storage of lithium batteries or chemicals | Fire and hazardous goods directions, separation and emergency response require sector-specific expert input. |
| Fulfilment across State boundaries | Customer and provider GST location/stock movement must be mapped by actual goods ownership and place-of-business facts. |
Complete execution SOP: what to do, in order
Classify warehouse activity and goods risks
Record dry storage, bonded warehouse, cold storage, food, pharmaceuticals, hazardous chemicals, ecommerce picking and third-party inventory ownership. Each can trigger a different approval set.
Validate site and building approvals
Check land use, warehouse/fire approval, racking load, forklift circulation, fire compartment, sprinkler/hydrant needs, access/egress, pollution and hazardous storage thresholds with competent authorities.
Map statutory licences by stored product
Review FSSAI for food handling/storage, CDSCO/drug licences for medicines, Customs bonded rules, WDRA registration if negotiating e-NWR and applicable product-specific obligations; not all warehouses require every one.
Create signed customer SLA and goods ownership map
Define goods title, inbound counting, put-away location, inventory records, shrinkage tolerance, picking, returns, stock destruction, insurance and claims limitation.
Install track-and-trace and physical controls
Barcode/SKU lot, bin location, environmental monitoring, goods receipt and quarantine, cycle count, WMS user logs, pest control and restricted-access cages.
Decide tax, employment and contract flows
Identify lease/warehousing/fulfilment services, warehouse location/GST registrations, invoice models, labour contractors, safety/OSH and any e-way bill involvement.
Reconcile inventory with money and claims
Monthly compare customer-ledger units, physical count, WMS records, insurance declarations, storage/dwell charges and service credits, then close variances with approvals.
What to do when something goes wrong
| Real-world problem | Action, evidence and remedy |
|---|---|
| Warehouse fire or smoke alarm | Evacuate, notify emergency responders, isolate chemicals safely, preserve inventory and CCTV evidence, contact insurer/client and comply with authority notices. |
| Cold-chain excursion | Hold implicated lots, identify time-temperature record, notify product owner and competent regulator where relevant, decide destruction/release with authorised QA. |
| Customer stock shortage | Reconcile inbound signed GRN, put-away, picks, shrinkage, returns and WMS access logs before approving adjustments and claims. |
| Racking collapse or forklift injury | Provide care and secure zone, inspect load/certification and worker training, document accident duties and reopen only after engineering approval. |
| Cyberattack on WMS | Contain system, preserve logs, operate controlled manual stock movements and reconcile after restoration with customer notification as appropriate. |
Contract clauses and counterparty safeguards
- Set title/custody, warehouse lien, stock valuation and authorised disposal
- Define inbound/outbound SLA, cycle count, shrinkage and inventory claims
- List storage limits, temperature and hazardous product prohibitions
- Allocate insurance, fire/bailment risk and inspection/access rights
- Clarify customer data/WMS access and system-outage continuity

Stress tests, funding and month-end finance
| Stress / funding item | Illustrative result | Decision |
|---|---|---|
| Volume −20% and unit cost +10% | ₹146,000 monthly operating result | Reduce avoidable fixed costs, reprice or improve retained volume before adding debt |
| An extra 30 days of collection delay | ₹1,900,000 additional receivables | Profit is unchanged initially, but cash is locked up |
| Startup equipment cash | ₹6,000,000 | Separate capital expenditure from operating cost |
| Refundable lease deposit | ₹900,000 | Not an ordinary monthly expense |
| Opening liquidity buffer | ₹2,200,000 | A planning assumption—not proof the business is adequately funded |

Commercial and legal decisions before spending
Define the cargo and legal custody model
Ordinary storage, food/cold storage, bonded warehousing, dangerous goods and a warehouse issuing negotiable receipts are different activities. List commodity classes, temperature/humidity requirements, maximum quantity, value and ownership. A generic warehouse lease or GST registration does not authorise controlled goods or a customs-bonded operation. WDRA registration should be assessed for the negotiable-receipt activity rather than assumed for every shed.
Price space, movement and exceptional handling separately
A pallet-month rate should state usable dimensions, weight, occupied versus reserved space, minimum commitment and billing cut-off. Separately price inward/outward handling, picking, packing, labelling, returns, cold-chain monitoring, overtime and value-added services. The sample uses occupied pallet-months; high-throughput fulfilment requires an additional per-order/per-line labour model to avoid underpricing picking intensity.
Make stock custody provable
At receipt verify count, condition, lot/expiry, declared value and customer instructions; record discrepancies before acknowledgement. Maintain location and movement scans, quarantine, cycle counts and controlled dispatch. Reconcile system stock to physical counts and client statements. Do not commingle batches where traceability, food safety, ownership or contract conditions require segregation.
Prepare for loss events and power failure
Agree insurance, liability limits consistent with law, exclusions, claims evidence and salvage decisions. Cold storage needs monitored temperatures, alarm response, backup power and a documented excursion/quarantine process. Do not assume a generator’s presence proves sufficient runtime or maintenance. Fire, flooding and cyber/system outages need a workable continuity plan and stock-access arrangements.

Weekly: cycle-count differences, space/throughput utilisation, customer instructions and overdue claims.
Monthly: occupied versus billed capacity, customer ageing, stock-liability/insurance exposure, power/maintenance costs and renewals.
Respond to an incident without destroying evidence
Exit, sale, closure and continuing liabilities
Give customers an orderly stock-removal or transfer plan, reconcile counts/condition and settle storage/handling claims. Do not dispose of goods or enforce a claimed lien without a valid contractual/legal basis and proper advice. Close special permissions, return receipt/security obligations where applicable and retain traceability and custody records.
Closing evidence and liabilities
Business-specific questions answered
Must every warehouse register with WDRA?
Not universally; assess the warehouse receipt/regulated scheme and other applicable rules.
Is a cold store always exempt from FSSAI?
No. Food storage business eligibility and activity must be checked.
Does an e-way bill prove ownership of stored goods?
No. Movement documentation does not replace a stock custody contract.
What is the core operational metric?
Contribution per pallet or order after handling, energy, occupancy and loss risk.
The answers below address common real-world situations. Each must still be matched to the operator’s actual facts, current tax notification and State/local rules.
Does every warehouse require WDRA registration?
No. WDRA requirements arise for relevant regulated warehousing/negotiable receipts services; normal private storage arrangements have their own approval matrix.
Does an FSSAI certificate apply to food storage only?
Food handling/storage can be a FoSCoS Kind of Business; review exact activity, location and category-specific criteria.
Can a warehouse issue a negotiable receipt without WDRA?
Do not assume it can issue regulated e-NWR or invoke WDRA legal effects without appropriate framework/registration.
Who owns the goods in a 3PL facility?
Contract and title documents decide; physical custody by the warehouse normally does not by itself mean the stock is the warehouse’s asset.
Must goods from multiple clients be segregated?
Apply contract, traceability, regulatory and product-safety requirements; risk-based segregation avoids commingling and false stock attribution.
What should a goods receipt note contain?
Client, SKU/batch/serial, quantity, condition, seal, time, carrier, discrepancy and bin location with sign-off.
How should cold-storage setpoints be determined?
Use product-specific validated temperature ranges and contract/QC SOP; a universal 2-8°C rule is wrong for many food or industrial products.
Do I need a separate GST registration for inventory held in another State?
Facts about ownership, place of business and supply location matter. Request a transaction-specific GST analysis, not a blanket assumption.
Can the warehouse sell abandoned inventory to pay charges?
Only via rights and processes lawfully permitted under contract and applicable lien/sale laws, with notice and traceable accounting.
Who is liable for stock damage?
SLA, bailment/contract law, insured perils, declared value and fault control; agree clear evidence and claim timelines in writing.
Which stock-count method works best?
Use risk-weighted cycle counts with independent reconciliation, then periodic wall-to-wall counts where appropriate; trace all adjustments to approved root causes.
How should a fulfilment 3PL price services?
Model per pallet/bin storage, inbound/outbound handling, pick/pack, returns, peak capacity, value-added work and spoilage liabilities instead of one blanket per-order price.
Does every warehouse require WDRA registration?
Assess the actual activity, especially issuance of negotiable warehouse receipts under the WDRA framework. Ordinary storage and receipt-based regulated warehousing should not be treated as identical; other local, food, customs or commodity approvals may apply independently.
Can I store food under a general warehouse permission?
Check the FoSCoS storage category and applicable food-safety conditions separately. Cold-chain and commodity-specific requirements, traceability and State rules can apply even where the premises already has a general local approval.
How should pallet pricing be defined?
State dimensions, weight, reserved/occupied basis, minimum commitment, billing period and handling inclusions. A pallet-month price without these definitions can hide expensive picking, return and overtime work.
What is the sample break-even?
At ₹1,520 net revenue and ₹440 direct cost per occupied pallet-month, contribution is ₹1,080. Against ₹890,000 monthly fixed cost, break-even is 825 occupied pallet-months rounded up, before interest and income tax.
Is inventory in my custody an asset of my business?
Customer-owned goods are not automatically your inventory asset. Maintain custody records and assess your liability/insurance; recognise only your own stock under the accounting policy. Reconcile client stock without recording its full value as warehouse revenue.
How should a temperature excursion be handled?
Quarantine affected stock, preserve monitoring/alarm records, notify the authorised customer/quality lead and obtain a competent disposition decision. Do not reset the alarm and dispatch stock merely because the temperature later returns to normal.
Can I retain or sell a customer’s stock for unpaid fees?
Do not assume a universal right. Review the contract, applicable law, notices and third-party interests with legal advice before exercising a lien or disposal. Keep goods safe and maintain evidence during the dispute.
What should a stock discrepancy investigation include?
Receipt count, location scans, transfers, picks, returns, adjustments, access logs and physical recount. Freeze suspect adjustments, reconcile ownership/lot data and document root cause and authorised correction.
How do I price cold storage differently?
Include cooling load, power, backup, monitoring, insulation/maintenance, handling and spoilage liability, plus actual occupancy. Product temperature and door-opening/throughput patterns can change cost even at the same pallet count.
Can ordinary storage and customs-bonded storage share one procedure?
No. A bonded model has specific Customs authorisation and goods-control obligations. Segregate processes and records and follow the licence conditions; a client’s import documents do not authorise the operator’s facility.
How should a 3PL contract allocate insurance?
Identify who insures goods, declared values, perils, deductibles, warehouse liability, notification and claims cooperation. Reconcile the policy to actual cargo and peak stock value; a generic building policy may not cover customers’ inventory.
What makes a fulfilment customer unprofitable despite high occupancy?
High picks per order, small lines, returns, relabelling, special packaging, errors and delayed payment can exceed the space margin. Track contribution by customer using both space and activity drivers rather than allocating every cost only by pallets.
State/UT and city-level applicability test
- Is the chosen premises permitted for this exact business and capacity?
- Which State, city and sector permit applies to each activity and each operating location?
- Are there fire, building, waste, signage, labour or medical safety conditions for this site?
- Do thresholds, professional qualifications, inspection dates or renewals differ here?
- Has any 2026 amendment commenced, been notified or changed the relevant form/fee?
- Who is legally responsible for each filing, complaint, accident and customer refund?
