Real Estate Brokerage & Property Management
Practical India guide to Real Estate Brokerage & Property Management: approvals, setup, operating controls, taxes, cash flow, risks, closure, 28 FAQs and editable tools.
General business education. Use the activity, location and transaction facts for legal and tax decisions; illustrative figures are not promised returns.
The two-minute answer
First decision — Sale of RERA project units. Section 9 registration/advertising requirements can apply to agent; verify State RERA and project status. Second decision — Resale of individual ready flat. RERA agent applicability may differ from primary sale; apply the relevant State rules and actual transaction. Then execute — Split sale brokerage from property management. Draw contracts for seller buyer, landlord tenant and management operator separately; a broker’s duty and a manager holding rents/security deposits differ. Know the first escalation — Agent advertises wrong carpet area. Withdraw misleading listing, match RERA/approved plan disclosures and remedy buyer or seller misrepresentation. Save a dated licence/authority determination, responsible owner, signed contract, evidence reference and next review date at every material step. This is the minimum practical answer before committing capital or promising a customer outcome.
Choose your exact model before applying
| Operating model | How it changes compliance | Minimum evidence |
|---|---|---|
| New-project brokerage | RERA section 9 agent registration and section 10 duties can apply to covered projects. | State RERA number, promoter/project file |
| Resale/rental brokerage | Contract, authority to market, title checks and payment handling differ from project sale. | Listing consent, lease/resale agreement |
| Property management | Caretaking, tenant collection, maintenance and security deposit custody. | Manager authority, receipts and owner reconciliations |
Six practical steps — registration to operation
Scope services and principal authority
Agree whether acting for buyer, seller, landlord, tenant, developer or society. Obtain written marketing/collection authority, conflict disclosure and fee trigger. Distinguish facilitating a transaction from holding ownership/title responsibility.
Check State RERA before marketing new projects
For RERA-covered projects, verify actual project status and agent registration in State regulator records. Section 10 duties include avoiding unregistered project facilitation, keeping prescribed records, avoiding unfair trade practices and supplying material information.
Verify listing integrity
Match plot/unit, built-up/carpet area, price, ownership authority, encumbrance claims, planning permission and possession status to documentary evidence. Keep a revision log for advertised rates and do not reuse old brochures after project changes.
Set trust accounting and tenant procedures
Separate owner rent collections, security deposits, brokerage commissions, maintenance advances and expenses. Define renewal, vacancy inspection, service contractor approval, damage claims and reporting timeline. Maintain receipts and bank reconciliation for client funds.
Classify GST and tax deductions
Agency/brokerage and managed-services consideration differs from sale of immovable property. Check GST registration, invoicing, tax withheld by payer and special handling for non-resident owners, if applicable. Avoid using property-sale thresholds for the broker’s own service fees.
Prove conversion economics and conflict management
Track cost per verified lead, site visits, signed mandates, deal closures, refund/dispute leakage and tenant retention. Disclose referral commissions and do not represent both sides in conflicting ways without appropriate agreement.
Regulatory applicability and authority matrix
| Statute / regulator | What triggers it | What to verify | Keep on file |
|---|---|---|---|
| RERA Act s.9 / s.10 and State RERA Rules | Agents facilitating transactions in covered registered projects. | Apply/check State registration and statutory agent duties. | RERA registration and project validation |
| Contract / consumer protection | Broker engagement, advertisement and fee arrangements. | Use truthful listings and written client authority. | Mandates, marketing archive and complaints |
| GST and income tax | Brokerage/service fees, withholding and managed property funds. | Invoice service revenue and distinguish pass-through client amounts. | Invoices, owner statements, TDS ledger |
| Data protection and local rules | Tenant/owner IDs, access credentials and premises operations. | Limit processing and check local shop obligations. | Data custody log, management contract |
GST, income tax and cash-recognition decisions
| Transaction / obligation | Assessment and treatment |
|---|---|
| Brokerage commission | Service supply; determine GST applicability by broker/transaction facts. |
| Rent collected for owner | Owner rental income is not automatically the manager’s commission revenue. |
| Security deposit | Classify refundable funds separately from fees and retained damages. |
| Non-resident transaction | Review FEMA and income-tax withholding when parties are non-resident. |
Forms, registers and evidence checklist
| Document / record | What to include | Owner / authority |
|---|---|---|
| RERA | Agent/project registrations where applicable | State regulator |
| Listing | Owner authority, true area, approvals and claim evidence | Mandate file |
| Funds | Owner/tenant receipts, deposits and fee splits | Trust/owner ledger |
| Contract | Service scope, conflicts, indemnity, fee trigger | Engagement letter |
| Tax | GST/TDS and non-resident screening | Tax file |

Financial model: revenue, profit and cash are different
| Input or result | Value | Meaning |
|---|---|---|
| Monthly volume | 24 completed mandates | Retained, accepted or billable output—not merely enquiries/dispatches |
| Realised price | ₹50,000 | Net of refunds and indirect tax |
| Variable cost per unit | ₹14,500 | Direct cash costs allocated to the same billable unit |
| Fixed operating cash cost | ₹510,000 | Excludes depreciation, finance charges and income tax |
| Contribution per unit | ₹35,500 | Price minus variable unit cost |
| Break-even volume | 15 completed mandates | Fixed cost ÷ contribution, rounded up |
| Capacity utilisation | 60.0% | Volume ÷ illustrative safe/saleable capacity |
Worked calculation: 24 × (₹50,000 − ₹14,500) = ₹852,000 contribution; less ₹510,000 fixed cash costs leaves ₹342,000 before financing, depreciation, tax and capital expenditure. A 10% fall in volume alone reduces contribution by ₹85,200. A 10% rise in unit variable cost alone reduces it by ₹34,800.
Client deposits are not brokerage turnover
A property manager receives rent and security deposits on behalf of owners, while its own fee is a small share of collections. The entire bank inflow is reported as revenue and used temporarily for business expenses.
Work through the decision
Separate client money, tenant deposits, owner remittances and earned management or brokerage fees. Reconcile each property to the tenant agreement and owner mandate. For sales-related agency work, assess the relevant project and State RERA position; a marketing agreement is not evidence of registration where registration is required.
What to establish before proceeding
Use a client-money control and dated remittance schedule. Do not finance payroll from security deposits owed to someone else. Define repair approval limits, contractor selection, tenancy disputes and exit handover in the management mandate.
| Operating measure | Definition and use |
|---|---|
| Earned fee per managed property | Management income earned after fee waivers, excluding rent and deposits held for others. |
| Client-money reconciliation | Property-wise collections, authorised deductions and remittances reconciled to bank and mandate. |
| Repair approval compliance | Jobs started within the owner’s authority limit with quotation, approval and completion evidence. |
This example is Finin2min’s operating analysis. Its commercial assumptions are not quoted market terms or a permit determination.
Common mistakes and how to avoid them
- Marketing an unregistered RERA-covered project. Check project and agent registration independently.
- Assuming property sale is brokerage income. Agency fee and client funds differ.
- Hidden dual commission conflicts. Disclose roles and remuneration.
- Retaining tenant ID copies indefinitely. Use access/retention controls and privacy law timeline.
Practical 30/60/90-day implementation plan
| Period | Specific milestone |
|---|---|
| Days 1–30 | Confirm the agency/management role, owner authority and applicable State registration scope. |
| Days 31–60 | Pilot rent collection, repair approval, deposit accounting and owner reporting for a limited portfolio. |
| Days 61–90 | Scale properties only after remittances, service costs and complaint handling remain reliable. |

Which business model changes the legal answer?
| Situation | Exact action and proof of decision |
|---|---|
| Sale of RERA project units | Section 9 registration/advertising requirements can apply to agent; verify State RERA and project status. |
| Resale of individual ready flat | RERA agent applicability may differ from primary sale; apply the relevant State rules and actual transaction. |
| Manage rents on behalf of landlord | Avoid treating tenant rent as agency fee; document beneficial ownership and custodial reconciliation. |
| Sublease in own name | Principal lease/sublease economics and tax treatment differ from agency management contracts. |
| Commercial leasing | Brokerage, security deposit, rent TDS and GST can vary by entities, use and tax status. |
| Foreign owner/tenant | Additional FEMA, withholding and identity verification may be relevant based on tax residency and payment route. |
Complete execution SOP: what to do, in order
Split sale brokerage from property management
Draw contracts for seller buyer, landlord tenant and management operator separately; a broker’s duty and a manager holding rents/security deposits differ.
Check State RERA agent registration
Determine when section 9 RERA agent registration applies to sale/purchase in registered projects and applicable State rules. Record registration number/validity and avoid using an unrelated agent’s registration.
Verify property and parties
Conduct KYC within law, confirm authority to market, title/occupancy documents, RERA project ID and brokerage mandate; do not advertise a property based on unverified commission promises.
Use written brokerage and marketing mandate
Identify commission payer, rate, event when earned, exclusivity, customer disclosure, advertising consent and no-double-commission representation.
Operate rent and deposit custody controls
When managing rentals, reconcile tenant collection by property, authorised deductions, owner remittance and refundable security deposits; do not pool client money without lawful/contractual authorisation.
Map GST and direct-tax roles
Broker fees, rent collection, maintenance reimbursement and own sub-letting have distinct tax consequences. Check actual supplier and invoice rather than charging GST on entire client rent automatically.
Control grievances and maintenance
Run tenant repair SLAs, photos, contractor qualifications, statutory building/tenancy obligations and landlord approval thresholds; close deposit/refund disputes with handover documentation.
What to do when something goes wrong
| Real-world problem | Action, evidence and remedy |
|---|---|
| Agent advertises wrong carpet area | Withdraw misleading listing, match RERA/approved plan disclosures and remedy buyer or seller misrepresentation. |
| Rents collected but not remitted | Freeze ledger, identify client balances, disclose and resolve discrepancy, and tighten segregated reconciliation. |
| Tenant security deposit withheld | Compare signed lease, move-in/out inspection and documented actual deductions; resolve within contractual and legal timeframes. |
| Unlicensed agent found selling registered project | Stop regulated marketing, check State RERA position and remediation before processing more commissions. |
| Landlord alleges unauthorised repair | Preserve work order and approval threshold, vendor bill and photographic evidence; improve authorisation workflow. |
Contract clauses and counterparty safeguards
- Define agency authority versus owner rights and who signs leases
- Specify brokerage commission event, payer, exclusivity and conflicts
- Set client rent/deposit custody, reconciliation and payment controls
- Include RERA project/agent disclosures and truthful marketing
- Authorise maintenance spend limits and vendor conflict management

Stress tests, funding and month-end finance
| Stress / funding item | Illustrative result | Decision |
|---|---|---|
| Volume −20% and unit cost +10% | ₹143,760 monthly operating result | Reduce avoidable fixed costs, reprice or improve retained volume before adding debt |
| An extra 30 days of collection delay | ₹1,200,000 additional receivables | Profit is unchanged initially, but cash is locked up |
| Startup equipment cash | ₹500,000 | Separate capital expenditure from operating cost |
| Refundable lease deposit | ₹300,000 | Not an ordinary monthly expense |
| Opening liquidity buffer | ₹1,100,000 | A planning assumption—not proof the business is adequately funded |

Commercial and legal decisions before spending
Distinguish sale agency from property management
A broker facilitating a transaction and a manager collecting rent/handling maintenance have different duties and revenue timing. Identify whether RERA agent registration applies to the actual project-sale activity and State. An agent registration is not a title guarantee, development approval or authority to hold unlimited client funds. Property management does not automatically authorise a person to sign sale documents for the owner.
Use an enforceable mandate before marketing
Verify the owner’s authority and agree property details, exclusivity, duration, price range, advertising permission, conflict disclosure, fee trigger, co-broker split, taxes and termination. Avoid fake inventory and advertisements inconsistent with the official project record. Disclose material conflicts and commission arrangements as required; do not claim independent valuation when acting as the seller’s sales agent.
Segregate client money and own revenue
Rent, refundable tenant deposits and repair advances held for an owner are not automatically management revenue. Maintain property/client sub-ledgers, approval limits, supporting bills and reconciled remittances. Use separate banking arrangements where required or appropriate to the mandate and never use one client’s deposit to finance another property’s repairs without lawful authority.
Forecast fees from closings, not leads
Record lead source, qualified enquiry, visit, offer, agreement, completion and fee collection separately. A promised deal or unsigned letter is not earned brokerage. Model cancellation, co-broker payouts, lead cost and delayed collection. A management annuity can stabilise revenue but also creates recurring maintenance, tenant and reporting obligations.

Business-specific questions answered
Does every broker need RERA registration?
RERA-covered agent activities trigger statutory registration; check specific State and transaction.
Can a property manager keep owner rent in their trading account?
Segregation and written authority are essential; holding another person’s funds is not income.
Is a broker responsible for title due diligence?
Duty depends on law and contract, but false claims and missing material disclosure create risk.
Should GST be calculated on property value or fee?
For brokerage, analyse the actual agency-service consideration, not simply property price.
The answers below address common real-world situations. Each must still be matched to the operator’s actual facts, current tax notification and State/local rules.
Is real-estate broker registration always under RERA?
Section 9 agent registration applies in the RERA scheme for relevant project transactions, with State rules and exceptions. Broker business generally can have additional local rules.
Does a RERA number guarantee a property’s title?
No. Project/agent registration is not a replacement for title, encumbrance and plan due diligence.
When is brokerage actually earned?
Follow written mandate, deal milestone and applicable contract law/consumer rules; avoid claiming commission on abandoned terms unless lawfully agreed.
Can a broker collect both sides’ commissions?
Obtain explicit transparent disclosure and comply with applicable consumer, State RERA and contract obligations; hidden conflicts can create disputes.
Can a manager keep tenant deposits in operational cash?
Client liabilities must be tracked and handled consistently with lawful contract and custody arrangements; keep property-by-property reconciliation.
Is GST charged on rental deposits?
The actual nature of refundable deposit, forfeiture, consideration and tax event matters; do not automatically treat refundable security as rent.
Does a broker need to deduct TDS when remitting rent?
The payer identity, rent relationship and withholding provisions control. Document whose payment obligation the agent discharges.
Who pays for major flat repairs?
Lease, local tenancy law and agreed landlord/tenant responsibilities govern; maintenance agency should have delegated approval limits.
Can property photos be listed without owner consent?
Get written listing and marketing rights, protect tenant privacy and avoid revealing access/security details.
How do I verify agent registration?
Check the correct State RERA portal, registration holder, validity and scope, not just a number embedded in an advertisement.
How do I manage a commercial building?
Maintain lease/rent, CAM reconciliation, statutory building/fire inspection, contractor compliance and escalation to ownership.
What should monthly owner statement show?
Gross rent billed, collection, vacancy, charges, maintenance bills, arrears, taxes/withholding, deposit liabilities, management fee and bank remittance.
Does RERA registration certify the title of every property I market?
No. It regulates the agent’s applicable activity; title, project approval and seller authority need independent checks. Verify the official project/phase record and obtain suitable legal due diligence for the transaction.
When is brokerage earned?
Use the clearly agreed contractual milestone and applicable accounting policy, such as completion of a defined transaction or service. A site visit, verbal offer or projected sale is not automatically earned revenue.
Are tenant deposits part of management turnover?
Money held for the owner/tenant should be analysed as client funds or liabilities, not automatically as the manager’s fee income. Maintain separate sub-ledgers and reconcile fee deductions to the written mandate and applicable tax rules.
Can I accept a booking token into my own account?
Only with proper authority and compliance with the applicable transaction and client-money framework. Define recipient, purpose, refund terms and remittance in writing. Do not imply that your receipt binds a seller who has not authorised it.
What should an exclusive mandate specify?
Property and authority, duration, exclusivity scope, fee trigger, owner-direct deals, co-brokers, marketing permissions, expenses, termination and disputes. Clear terms reduce arguments about whether a later transaction arose from your work.
How do I avoid double-counting co-broker commissions?
Record gross contractual fee and the co-broker obligation according to the actual principal-agent/accounting arrangement. Reconcile invoices and tax/withholding records. Use net contribution, not gross commission alone, to compare channels.
Can I promise guaranteed rent to win a management contract?
Only make a commitment you are legally and financially prepared to meet, with explicit conditions and reserves. Distinguish a marketing estimate from a contractual guarantee and model vacancy/default exposure separately.
What should an owner receive monthly?
Opening balance, rent collected, arrears, authorised expenses with bills, fee/tax deductions, closing balance, remittance and unresolved maintenance/tenant issues. Keep refundable deposits separately visible.
How should emergency repairs be authorised?
The mandate should state emergency scope, spending limits, notification and evidence. Protect people/property first within lawful authority, preserve invoices and escalate amounts outside the agreed limit.
What is the right economics metric for lead portals?
Compare cost per collected-fee transaction and contribution after co-broker payouts, staff time and cancellations. Raw lead counts and viewing numbers can overstate commercial value.
Can I reuse customer identity documents across listings?
Limit collection and access to lawful purposes and necessary recipients. A transaction KYC file is not a marketing database. Use secure transfer and retention rules and document authority before sharing.
What happens when a mandate expires mid-negotiation?
Review the contract’s pending-transaction and fee provisions, renew authority where needed and clarify the customer/owner position in writing. Do not continue representing authority that has expired or was revoked.
State/UT and city-level applicability test
- Is the chosen premises permitted for this exact business and capacity?
- Which State, city and sector permit applies to each activity and each operating location?
- Are there fire, building, waste, signage, labour or medical safety conditions for this site?
- Do thresholds, professional qualifications, inspection dates or renewals differ here?
- Has any 2026 amendment commenced, been notified or changed the relevant form/fee?
- Who is legally responsible for each filing, complaint, accident and customer refund?
