Property Purchase, Lease & Sale

Practical India guide to Property Purchase, Lease & Sale: approvals, setup, operating controls, taxes, cash flow, risks, closure, 28 FAQs and editable tools.

Finin2min Editorial Desk ·

General business education. Use the activity, location and transaction facts for legal and tax decisions; illustrative figures are not promised returns.

The two-minute answer

First decision — Under-construction apartment. RERA disclosures, sanctioned plan, progress-linked payment, GST rate and ITC conditions must be checked separately from resale ready units. Second decision — Agricultural land. State agricultural-land restrictions, conversion, zoning and buyer eligibility can prohibit or condition transfers. Then execute — Verify people, parcel and transaction type. Identify owner, attorney or developer, freehold/leasehold nature, agriculture/commercial/residential use, transaction value and buyer/seller residency. Build evidence chain from title deed to property search. Know the first escalation — Seller cannot produce chain-of-title records. Pause payment; obtain certified registry searches and independent legal opinion, not just seller affidavits or portal screenshots. Save a dated licence/authority determination, responsible owner, signed contract, evidence reference and next review date at every material step. This is the minimum practical answer before committing capital or promising a customer outcome.

Apply this in order: classify your operating model; check land and licensing; build sector-specific controls; confirm tax treatment; maintain evidence; then test cash economics. A licence is not a substitute for ongoing safe operation.

Six practical steps — registration to operation

STEP 01

Identify exact asset and seller

Record plot/unit ID, survey/khasra reference, locality, municipal jurisdiction, present occupant, title owner and signatory authority. Match marketed boundaries to sanctioned plan and physical inspection; reconcile land record, registered deed and property tax identifiers.

STEP 02

Check encumbrances and litigation

Search the jurisdictional registration and land record office, charges/lender mortgage, pending cases where discoverable, inheritance or company authority issues and society dues. Ask a qualified local lawyer to explain gaps in title chain and material easements before paying a non-refundable amount.

STEP 03

Review project and building permissions

For relevant projects verify RERA registration, promoter disclosure, completion/occupancy certificate, building plan, fire permissions, environmental conditions and whether the exact unit appears in the approved layout. RERA section 13 constrains acceptance of advance by promoters without compliant sale agreement.

STEP 04

Separate stamp duty, registration and tax tests

Compute stamp duty and registration fees from the correct State schedule and instrument valuation; commercial and residential use matters. Check whether GST applies to construction services, rent or other supplies; land and completed immovable property positions differ. Evaluate transaction-specific income-tax withholding.

STEP 05

Protect cash, possession and post-closing records

Structure payment milestones, escrow or lender release, penalties, defect rectification, handover inventory and meter/utility transfers. Obtain original deed, sanctioned plans, tax receipts, encumbrance releases and registered instrument copies.

STEP 06

Compare true ownership and rental economics

Include loan interest, maintenance, vacancy, property tax, transaction costs, resale liquidity, insurance and alternate investment return; a lower EMI is not automatically a cheaper long-term cost than renting.

Financial model: revenue, profit and cash are different

Annual rental holding example—not monthly business revenue. These are separate illustrative assumptions, not a property recommendation.

Annual itemCalculationAmount
Scheduled rent12 months × ₹85,000₹1,020,000
Direct holding expense12 months × ₹13,000₹156,000
Other annual financing/holding costsAssumed cash amount₹330,000
Cash before income tax at full collection₹10,20,000 − ₹1,56,000 − ₹3,30,000₹534,000

This example does not include the purchase price, initial equity, sale proceeds or assumed appreciation. A refundable tenant deposit is a liability, not rental income. Vacancy, unpaid rent, repair work and tax can materially reduce the cash retained.

The accompanying workbook has a separate acquisition-and-loan model: ₹1.50 crore purchase price, ₹9 lakh acquisition charges and ₹6 lakh fit-out; ₹70 lakh illustrative borrowing; 90% economic occupancy. These assumptions are not the same as the simple holding example above. It calculates annual rent, debt service, yields, vacancy break-even, five-year holding cash and exit proceeds without presuming appreciation.

Open the editable finance workbook

A rental yield calculation must include the acquisition cash

A buyer compares annual rent with only the advertised property price. The calculation leaves out purchase charges, fit-out, vacancy, repairs, finance payments and the timing of possession. It also assumes the seller’s title statement is conclusive.

Work through the decision

Separate legal due diligence from the return model. Reconcile title and authority, encumbrances, project information where applicable, permitted use, possession conditions and the proposed agreement. In finance, show the total acquisition funding, annual collected rent, unrecovered operating costs, debt service and a separate exit scenario.

What to establish before proceeding

Base the decision on net cash yield and downside occupancy, not a headline rent-to-price ratio. Record which charges are acquisition costs, refundable deposits or recurring expenses. A positive rental illustration does not resolve title, registration, tax or tenant enforceability.

Operating measureDefinition and use
Net holding cashCollected rent less vacancy-related loss, unrecovered expenses and debt service for the holding period.
Acquisition funding coverageCommitted funds compared with price, transaction costs, fit-out and the opening reserve.
Tenant/deposit reconciliationRent receivable, deposit liability and permitted deductions tracked separately by tenant.

This example is Finin2min’s operating analysis. Its commercial assumptions are not quoted market terms or a permit determination.

Common mistakes and how to avoid them

  • Purchasing solely on brochure floor plan. Sanctioned layout and legal right of seller control.
  • Confusing mutation with title. Mutation is a revenue record, not a substitute for title diligence.
  • Hardcoding State stamp percentages. Stamp classification, location and concessions differ.
  • Ignoring occupancy/vacancy assumptions. Effective investment return can differ sharply from gross yield.

Practical 30/60/90-day implementation plan

PeriodSpecific milestone
Days 1–30Establish seller authority, title chain, project/use status and the full acquisition-cost schedule.
Days 31–60Negotiate possession, payment milestones, lease terms and defect remedies with documentary conditions.
Days 61–90After handover, reconcile rent, deposits and repairs and compare actual holding cash flow with the investment case.

Which business model changes the legal answer?

SituationExact action and proof of decision
Under-construction apartmentRERA disclosures, sanctioned plan, progress-linked payment, GST rate and ITC conditions must be checked separately from resale ready units.
Agricultural landState agricultural-land restrictions, conversion, zoning and buyer eligibility can prohibit or condition transfers.
NRI sellerNon-resident TDS and FEMA repatriation questions differ from resident-seller property withholding.
Leasehold industrial plotLessor consent/transfer levy, estate terms and residual tenure may limit commercial transfer.
Property held by company or LLPAuthorised signatories, board approvals, charges and underlying direct-tax treatment differ from an individual seller.
Rent with GST implicationsLandlord registration, property use, reverse charge where notified and place of supply must be classified under current GST law.

Complete execution SOP: what to do, in order

  1. Verify people, parcel and transaction type

Identify owner, attorney or developer, freehold/leasehold nature, agriculture/commercial/residential use, transaction value and buyer/seller residency. Build evidence chain from title deed to property search.

  2. Inspect legal title and encumbrances

Obtain chain of title, certified search/encumbrance, mutation/property records, mortgage releases, ongoing litigation, society dues and possession rights from the correct registry/authority.

  3. Check projects and construction approvals

Where property comes from a developer, check State RERA listing, promoter status, project phase and sanctioned plans, commencement/occupancy certificates and any building violations.

  4. Structure financial and tax obligations

Evaluate stamp duty/registration, purchase price, brokerage, source of funds, capital gains consequences, GST in under-construction vs completed assets, and withholding under current Income-tax Act/TDS mapping.

  5. Document terms before paying earnest money

Use a written sale/lease term sheet identifying contingencies, title warranty, encumbrance discharge, payment milestones, property area, taxes/charges, possession, default and refund rules.

  6. Register and take documented possession

Prepare deed, identity, valuation/stamp documentation, tax withholding proof and witnesses; register with jurisdictional authority and sign handover inventory/keys/meter reading.

  7. Update post-transfer records

Transfer society/utility/municipal records, property tax, insurance and rental deposit records; for leased premises diarise escalation, repair obligations and exit handback.

What to do when something goes wrong

Real-world problemAction, evidence and remedy
Seller cannot produce chain-of-title recordsPause payment; obtain certified registry searches and independent legal opinion, not just seller affidavits or portal screenshots.
Undisclosed mortgage foundRequire documented lender release, clear title and agreed settlement flow before registration; record release endorsement.
Builder misses completion dateReview executed agreement, RERA registration, remedies and limitation periods; preserve payment and delay evidence.
Tenant fails to return premisesPreserve lease, notices, deposit, inventory, utility records and legal process; avoid coercive eviction outside lawful procedure.
Stamp duty value discrepancyObtain registration authority valuation/rule, determine whether additional duty or direct-tax deemed consideration arises, and use formal challenge if appropriate.

Contract clauses and counterparty safeguards

  1. Attach accurate survey and title schedules with encumbrance warranty
  2. Require lender discharge and vacant/tenanted possession particulars
  3. Specify tax/stamp allocation and statutory withholding obligations
  4. Set conditions precedent, cure period and refund/default remedies
  5. Agree dispute resolution, handover inventory and post-completion records

Operational templates, registers and checklists

Stress tests, funding and month-end finance

Use the dedicated property or dispute model, not an operating sales calculator. Change the transaction facts, cash timing and legal treatment independently. No tax liability or statutory deposit is inferred from illustrative assumptions.

Commercial and legal decisions before spending

Separate title, construction legality and commercial value

A registered document, mutation entry, electricity bill and possession answer different questions; none should be treated as a complete title opinion on its own. Obtain the title chain, encumbrance/litigation search, seller authority, land-use and sanctioned-plan records, completion/occupancy position and applicable RERA record. Engage a property lawyer for the jurisdiction and survey/technical support where boundaries or building compliance are material.

Model acquisition, holding and exit separately

Acquisition cash includes purchase consideration, applicable stamp duty/registration, non-creditable tax, brokerage, legal review, fit-out and financing costs. Holding cash includes actually collected rent less vacancy, owner-paid maintenance, property tax, insurance, repairs and debt service. Exit cash includes selling expenses, debt redemption and applicable tax. A capital appreciation assumption is not recurring rent and does not fund this month’s EMI.

Allocate lease obligations precisely

Record permitted use, possession date, rent commencement, escalation, lock-in, deposit, maintenance, repairs, subletting, reinstatement, notices and dispute route. Identify who obtains business permissions; a landlord consenting to a business does not guarantee municipal permission. Document meter readings, condition, keys and inventory at handover. Keep rent and refundable deposit in separate ledgers.

Control payment and tax execution

Verify seller residency and identity, ownership shares, consideration, stamp value and payment timing before applying the relevant withholding provision and current form. Non-resident seller withholding is not the same as the familiar resident-property rule. Match the tax year to the applicable Income-tax Act/Rules; do not blindly reuse a legacy form number. Arrange release of existing lender charges and document all payments through traceable channels.

Closing evidence and liabilities

Business-specific questions answered

Does RERA registration prove clean title?

No. Project compliance and property title due diligence are different inquiries.

Is possession letter sufficient for transfer of ownership?

A valid registered conveyance and other legal formalities matter.

Can a lease use another State’s stamp rate?

No. Apply law where instrument/property is chargeable and registered.

How should an investor compare rental yield?

Compare net rent after vacancy, maintenance, property tax and financing against total acquisition costs.

The answers below address common real-world situations. Each must still be matched to the operator’s actual facts, current tax notification and State/local rules.

Does an encumbrance certificate prove full ownership?

No. It is one search record. Check original/certified deeds, land records, registry indexes, litigations, mortgage/charges, possession and authority of seller.

Should I buy before receiving the occupancy certificate?

Evaluate project-specific legality, possession risks, lending requirements and local building laws; do not equate a payment demand with lawful occupation.

Does RERA registration guarantee a property has no title defects?

No. It supports statutory promoter disclosures; independent title, plan, approval and encumbrance diligence remains necessary.

When must property TDS be deducted?

The facts, seller residency, value and operative income-tax rules decide the applicable withholding. Map new law section and prescribed forms for tax year 2026-27, not outdated 1961-only form references.

Can I pay booking money in cash?

Cash transaction limits and recording requirements can apply. Use traceable permitted payment methods and professional tax advice before large payments.

Who pays unpaid society maintenance?

Check local law, society records and written sale agreement; hold back disputed dues and obtain a no-dues certificate where available.

Can a lease be signed only on plain paper?

Stamping and registration requirements depend on tenure, State law and contract type; obtain correctly executed and stamped instrument before occupation.

What is refundable security deposit?

Specify amount, permissible deductions, inspection, interest if agreed, refund date and set-off mechanics in the lease; do not rely on verbal promises.

How do I confirm the authorised built-up area?

Compare sanctioned plan, actual survey, property description and approval/completion documents; distinguish super built-up marketing figures from legally disclosed carpet area.

How do I buy a tenanted property?

Review lease terms, security deposit transfers, tenant rights, notices and rent arrears; obtain written attornment and possession status.

Can an NRI buy any property in India?

FEMA imposes category/residency conditions, especially agricultural/plantation/farmhouse property; consult current RBI rules for exact status.

What if the seller refuses registration after advance?

Preserve signed agreements and payment trail; use notice, contractual refund/specific performance and limitation analysis through a property lawyer.

Does mutation establish ownership by itself?

Do not treat a revenue or municipal mutation record as a substitute for legal title due diligence. Review the conveyance chain, seller authority, encumbrances and disputes with a jurisdictional property lawyer and resolve inconsistencies before closing.

How is the revised rental illustration calculated?

The example uses ₹85,000 rent for 12 months: ₹1,020,000 annual scheduled rent. At full occupancy, ₹13,000 monthly direct holding costs total ₹156,000; another ₹330,000 annual financing/holding charge leaves ₹534,000 annual cash before income tax. Acquisition funding and vacancy are separate.

Is rental yield the same as return on equity?

No. Unlevered yield compares property operating income with the all-in property cost. Cash-on-cash return compares after-debt cash with investor equity. Leverage can improve or worsen equity returns and introduces repayment risk even when the asset appreciates.

Can a refundable security deposit be recognised as rental profit?

Normally it remains an obligation until validly applied or forfeited under the contract and applicable accounting/tax rules. Keep it separate from rent and maintain liquidity for repayment; do not use it to disguise a cash shortfall.

Does RERA registration remove the need for title review?

No. The project’s official record is an important disclosure source, not a substitute for checking the seller’s title, the actual unit/phase, encumbrances, approvals and agreement terms. Investigate discrepancies rather than relying on a registration number in an advertisement.

What changes when the seller is non-resident?

The withholding analysis can differ materially from a resident transfer, including applicable amount/rate, documentation and lower-deduction process. Establish residency and obtain case-specific advice before payment; do not automatically apply the resident-property withholding shortcut.

Why must stamp duty and GST be modelled separately?

They arise under different frameworks and depend on different transaction facts. State stamp/registration charges do not disappear merely because a property supply is outside GST or exempt, and GST treatment cannot be inferred from payment of stamp duty.

What should a token-advance receipt say?

Identify the property and parties, amount, purpose, conditions precedent, verification period, refund/forfeiture conditions, completion date and payment trail. It should not inadvertently waive title defects or commit the buyer before essential approvals are checked.

How do I compare buying with leasing for a business?

Compare after-tax cash flows over the same horizon: upfront equity, borrowing, rent escalations, maintenance, exit value and flexibility. Include the business’s opportunity cost of locked equity and adverse scenarios; comparing monthly rent with EMI alone is incomplete.

What is the consequence of a vacant month?

Rent collections fall while many costs and debt payments continue. The property workbook separates occupancy from scheduled rent and tests yield and debt-service coverage. A high advertised annual yield may disappear after vacancy and repairs.

What belongs in the closing checklist?

Final title and approval conditions, seller authority, lender no-dues/release, original documents, verified payment instructions, taxes, execution/registration, possession, keys and utilities. Assign each item to an owner and require evidence before releasing the associated payment.

Can I assume a residential premises can host any business?

No. Confirm permitted land/building use, lease terms and local/sector conditions for the exact activity. A residential address accepted for one registration does not establish that a restaurant, clinic, school or warehouse may lawfully operate there.

State/UT and city-level applicability test

  1. Is the chosen premises permitted for this exact business and capacity?
  2. Which State, city and sector permit applies to each activity and each operating location?
  3. Are there fire, building, waste, signage, labour or medical safety conditions for this site?
  4. Do thresholds, professional qualifications, inspection dates or renewals differ here?
  5. Has any 2026 amendment commenced, been notified or changed the relevant form/fee?
  6. Who is legally responsible for each filing, complaint, accident and customer refund?
Apply the law in force rather than an unnotified proposal. A general threshold is never proof that a sectoral exemption or local registration applies.
