Transfer Pricing Documentation: What Startups With Group Transactions Must Know
Document the business substance, pricing method and evidence for cross-border and specified domestic related-party transactions.
A startup may call an overseas parent recharge “at cost” or a founder-company service fee “market standard.” Transfer pricing requires more: identify the associated enterprise, characterise the transaction, choose a method, support comparables and prove the service or funding actually occurred.
The agreement and pricing logic should exist when the transaction begins.
Tax years from 1 April 2026 operate under the Income-tax Act, 2025 and Rules, 2026 framework.
Legacy periods use Form 3CEB; the new framework prescribes Form 48 for the accountant report.
Functions, assets, risks and benefit received matter as much as the invoice.

- Create a legal-entity and related-party transaction map before year-end.
- Sign intercompany agreements before or contemporaneously with services, funding or licensing.
- Prepare a functions-assets-risks interview record with business teams.
- Choose and document the most appropriate method; do not select a markup only because another group entity uses it.
- Reconcile transfer-pricing schedules to invoices, ledger, withholding, GST and foreign-remittance records.
- For periods under the 1961 Act, assess Form 3CEB and legacy documentation. For tax years beginning 1 April 2026, apply the Income-tax Act, 2025/Rules, 2026 requirements, including the prescribed accountant report in Form 48.
- Track filing dates, master-file/country-by-country obligations and safe-harbour/APA options separately.

3. Practical example
An Indian startup provides engineering support to its Singapore parent. “Cost plus 15%” is not self-proving. The file should define the cost base, exclude pass-through or shareholder costs where appropriate, explain functions and risks, benchmark the return and reconcile the invoice to payroll and project records.
