EXECUTIVE SUMMARY

Import/export compliance begins with item, transaction, geography and policy status. IEC by itself does not authorise trade in restricted, prohibited or controlled goods, and a customs declaration does not replace FEMA bank reporting.

BUSINESS/TRANSACTION MODELS AND DIFFERENCES

Merchant exporter; manufacturer exporter; importer for own use; importer and retailer; service exporter; technology transfer; SCOMET/dual use; bonded/EOU/SEZ operations; cross-border ecommerce.

FIRST QUESTIONS AND INPUT DECISION MATRIX

Collect: State and city; activity and exact role; legal entity; ownership of products/funds/premises; turnover and financial year; employee count; relevant product/professional licence; cross-border connections; transaction or operation start date. Mark each obligation as Required / Not applicable / Conditional / Expert review / Awaiting authority clarification, with supporting official source and retrieval date. Never turn an unverified assumption into a definitive legal requirement.

Step 2 — HS/ITC(HS) AND TRADE POLICY

Build exact product/specification and HS/ITC(HS) classification, free/restricted/prohibited conditions, tariff notifications, country/partner restrictions, SCOMET screening and import/export licensing. Document genuine end-use and origin.

Evidence to retain

Product specifications, classification memo, DGFT condition extract, end user certificate where required.

Step 3 — SECTORAL APPROVAL AND STANDARD COMPLIANCE

Screen product agencies: BIS/QCO, FSSAI, CDSCO, plant/animal quarantine, WPC/telecom, environmental/chemicals, packaging and safety. Obtain actual mandatory licences/NOCs before shipment.

Evidence to retain

Certificates, product labels, testing and agency approvals.

Step 4 — CONTRACT AND INCOTERMS

Set pricing/currency, invoice terms, governing law, delivery and transfer of risk, Incoterms allocation, insurance, inspection, payment security, force majeure, warranties and trade dispute resolution.

Evidence to retain

Signed contract, proforma/commercial invoice, insurance, letter of credit/bank documents.

Step 5 — CUSTOMS AND LOGISTICS

Prepare bill of entry/shipping bill, invoice, packing list, BL/AWB, certificate of origin where relevant, customs valuation, broker authorisation, duty/GST, transport and port records. Check preferential tariff eligibility with actual origin criteria.

Evidence to retain

Customs declarations, query replies, examination records, assessed taxes and delivery proof.

Step 6 — GST EXPORT/CREDIT TREATMENT

For relevant zero-rated supplies examine LUT/bond versus IGST payment, input credit, GSTR-1/3B documentation, exports under GST and refunds. Import IGST/customs duties have separate charging provisions. Test RoDTEP/drawback/other incentives for specific products and overlap restrictions.

Evidence to retain

LUT, shipping bill, invoice, GSTR ledger, refund and incentive reports.

Step 7 — FEMA AND BANKING

Document AD bank, receipt and remittance rules, EDPMS/IDPMS, payment realisation and extension/write-off mechanisms where eligible, advances, third-party settlement and trade finance. Check current RBI master directions and transaction-specific bank instructions.

Evidence to retain

Bank advice, bills, export realisation, BRC/eBRC, shipping bill-bank reconciliation.

Step 8 — CLOSE SHIPMENT AND DISPUTE CONTROL

Reconcile contract → shipment → customs → tax → banking → cash. Maintain open exceptions, customs queries, partial shipments, refunds, duty benefits, destination non-payment and insurance claims.

Evidence to retain

Trade master ledger, complete shipment file, supporting communications and refund/bank records.

BUSINESS ECONOMICS, FORECAST AND SENSITIVITY

Illustrative merchandise export: quoted FOB revenue $100,000 and planning FX ₹85/$ = ₹85 lakh (FX solely assumed; not market quote). Materials ₹51 lakh, production ₹12 lakh, export packing/logistics ₹5 lakh, overhead ₹7 lakh, finance/hedging ₹3 lakh => illustrative pre-tax project contribution ₹7 lakh. Sensitivity: a 2% adverse change to INR realisation before hedge costs changes revenue by ₹1.7 lakh. For CIF quotations, identify freight/insurance paid by exporter and ensure tax/refund treatment aligns with contract rather than transferring FOB economics unmodified.

Pricing must distinguish revenue net of applicable indirect tax, direct costs, indirect overhead, financing, depreciation and tax. Sensitivity model: test base, downside and upside cases for demand/volume, average price, gross contribution, regulatory cost, funding and delayed cash collection. Use assumptions dated for each scenario; never present hypothetical figures as current market rates.

DOCUMENTS, RISK CONTROLS AND ANNUAL OPERATING RHYTHM

Day-zero evidence: entity identity and authorised persons, operative licence/authority citations, application receipts, contract, premises or business-specific records, risk register and tax registration analysis.

Daily/weekly: cash and transaction reconciliation, complaints/incidents, approvals exception management.

Monthly: taxes and returns by actual applicability; legal/registration condition monitoring; compliance owner sign-off, unit economics, working-capital and expiry triggers.

Quarterly: licence and regulatory change review; independent sampled transaction tests; vendor/outsourcing review; updated risk and legal register.

Annual/event-driven: annual returns only where required, board/management review, financial statements, changes to licences/entity/products, State or authority legal change.

FAQ — PRACTICAL ANSWERS

Q. Is this one national licence checklist? No. Authorisation differs by State, municipality, legal role, activity and effective law.

Q. Does starting an online or small business automatically exempt it? No. Threshold relief and exemptions have conditions.

Q. Does a licence settle GST, labour and income tax? No. These are separate legal obligations.

Q. Can consultants use this as a legal opinion? No. Apply official current sources to actual facts and preserve approval evidence.

Q. Are the economics estimates forecasts? No. They are transparent illustrations that must be rebuilt using current quotes and company data.

Q. When must the assessment be repeated? On material activity, geography, funding, staffing, product or law changes.
