How This Is Calculated
ESOPs are taxed in two stages: first, at exercise, the difference between fair market value (FMV) on exercise date and the exercise price is taxed as a perquisite (salary income), with TDS deducted by the employer. Second, at eventual sale, the difference between sale price and FMV at exercise (the amount already taxed as perquisite) is taxed as a capital gain — short-term or long-term depending on the holding period from the exercise date, with rates differing for listed versus unlisted shares.
Frequently Asked Questions
When is ESOP taxed — at exercise or at sale?
▼
Both. At exercise, the difference between the FMV and exercise price is taxed as a perquisite (part of salary income). Later, at sale, the difference between the sale price and the FMV used at exercise is taxed separately as a capital gain.
What is the holding period for LTCG on ESOP shares?
▼
The holding period is measured from the date of exercise (allotment), not the grant date. For listed shares, holding beyond 12 months qualifies as long-term; for unlisted shares, the threshold is 24 months.
Does the employer deduct TDS on ESOP perquisite value?
▼
Yes. The employer is required to deduct TDS on the perquisite value (FMV minus exercise price) at the time of exercise, treating it as part of that month's salary for TDS purposes, regardless of whether you've actually sold the shares yet.

Scope: Computes the two-stage tax treatment of Employee Stock Options (ESOPs): the perquisite tax at the time of exercise, and the capital gains tax at the time of subsequent sale.
Calculation logic
Perquisite (at exercise): Taxable perquisite value = Fair Market Value (FMV) of the shares on the date of exercise − Exercise price actually paid by the employee — taxed as salary income (perquisite) in the year of exercise, at the employee's applicable slab rate.
Capital gains (at sale): Capital gain = Sale price − FMV on the date of exercise (i.e., the FMV already taxed as perquisite becomes the cost of acquisition for capital-gains purposes, avoiding double taxation of the same value) — taxed as short-term or long-term capital gains depending on the holding period from the exercise date to the sale date, per the standard capital-gains holding-period rules for the specific security type (listed/unlisted equity).
For eligible start-up employees, a deferral mechanism under Section 156 of the Income-tax Act, 2025 (renumbered successor to the erstwhile Section 192(1C)) allows the perquisite TDS to be deferred (not the tax liability itself, but the payment/deduction timing) to the earlier of 5 years from exercise, sale of shares, or cessation of employment — the calculator applies this deferral where the employer qualifies as an eligible start-up.
Inputs and assumptions
FMV determination for unlisted shares follows the valuation methodology prescribed under the Income-tax Rules (typically requiring a merchant banker valuation); for listed shares, FMV is the market price on the relevant date — the calculator uses whatever FMV figure the user enters, based on their employer-provided perquisite statement or valuation.
The start-up TDS-deferral benefit is available only to employees of specifically eligible start-ups (as defined/notified) — the calculator applies it only where the user confirms this eligibility.
Exclusions and edge cases
Does not itself perform the unlisted-share valuation — the employer/valuer's certified FMV should be used as the input.
Foreign ESOPs (from a foreign parent/group company) carry additional reporting obligations (Schedule FA) and potential DTAA considerations not computed by this domestic-focused calculator.
