Manufacturing Unit
Practical India guide to Manufacturing Unit: approvals, setup, operating controls, taxes, cash flow, risks, closure, 28 FAQs and editable tools.
General business education. Use the activity, location and transaction facts for legal and tax decisions; illustrative figures are not promised returns.
The two-minute answer
First decision — Factory on industrial land. Industrial allotment is not automatically environmental consent, fire NOC or factory applicability clearance; map each independent authority. Second decision — Job-work unit. Identify who owns inputs/goods, invoicing classification, GST job-work movement timeline and safety responsibility under the contract. Then execute — Prepare capacity and process map. Document input materials, dangerous chemicals, installed power, machines, water, effluents, emissions and waste types. Match projected capacities to site land-use permission and industrial estate lease conditions. Know the first escalation — Serious machine injury. Provide urgent care, secure the machinery, preserve evidence and notify the relevant authority as applicable. Investigate root cause, corrective engineering controls and contractor risks before restart. Save a dated licence/authority determination, responsible owner, signed contract, evidence reference and next review date at every material step. This is the minimum practical answer before committing capital or promising a customer outcome.
Choose your exact model before applying
| Operating model | How it changes compliance | Minimum evidence |
|---|---|---|
| Assembly/fabrication | Power, employee count, equipment and production process affect factory and workplace applicability. | Process-flow sheet, machine list, power sanction |
| Wet/chemical process | Effluent, air emissions, hazardous substances and waste may require higher-risk authorisations. | Raw material hazard inventory, emission and effluent plan |
| Food/electrical/regulated products | Sector licensing or BIS quality orders can apply in addition to site approvals. | Product/SKU standards matrix and conformity tests |
Six practical steps — registration to operation
Freeze the process and factory footprint
Draw process flow from incoming material through production, packing and dispatch; list machinery, power use, storage, boilers, chemicals, emissions, working shifts and staff. Ask a technical specialist to classify fire and environmental risk before signing the lease.
Clear land use and building feasibility
Verify permitted industrial use, title/lease rights, construction plan, access road, utilities, local building occupancy and fire design. A cheaper shed is not economical if factory, hazardous storage or truck movement approval cannot be obtained.
Determine environment approvals by process
Apply for Consent to Establish / Consent to Operate and related waste authorisations where the actual activity triggers them. State Board classification and consent terms are specific to pollution category, plant, location and discharge. Keep the original approval, monitoring reports and changes in capacity on file.
Map labour and OSH duties at plant level
Review commenced four Labour Codes, appropriate Central/State rules, worker categories, hazardous tasks, contract labour, worker welfare, incident recording and social-security eligibility. Install machine guards, lockout, PPE, training and emergency exercises; document the competent safety authority’s requirements.
Clear product market access
Check BIS compulsory certification or QCO, Legal Metrology, FSSAI or other product licences according to output. Inspect packaging and labels before printing; verify quality test methodology and batch traceability. A factory licence does not authorise sale of a non-conforming product.
Control working capital and contribution
Calculate raw-material yield, scrap, energy per unit, quality rejects, preventive maintenance and stock days. Track production throughput, customer credit terms and GST input credit reconciliation; separate accounting gross margin from plant cash conversion cycle.
Regulatory applicability and authority matrix
| Statute / regulator | What triggers it | What to verify | Keep on file |
|---|---|---|---|
| State Pollution Control Board consents | Process and emission/effluent/waste classification drive applicability. | Obtain activity/location-specific decision and retain approval terms. | CTE/CTO, authorisations, monitoring |
| OSH and Labour Codes | Factory/workplace classification, workers and hazards. | Identify applicable State rules, safety systems and employment records. | Safety inspections, appointment, wages |
| BIS/QCO or sector licences | Product-specific compulsory conformity may apply. | Verify exact standard and start date before first sale. | Certificates/test reports, batch release |
| GST and customs | Raw material input, output, job work, scrap and imports have different treatment. | Maintain HSN/transaction classification and movement documents. | Inventory, e-way, purchase-sales reconciliation |
GST, income tax and cash-recognition decisions
| Transaction / obligation | Assessment and treatment |
|---|---|
| Raw materials and capital goods | Evaluate input GST eligibility, blocked credits and required invoice/evidence. |
| Finished goods | Use current notified HSN rate after checking 2025/2026 changes. |
| Job work and scrap | Apply own supply/movement and valuation tests; do not automatically mirror finished product rate. |
| Income and payroll | Record depreciation, payroll, TDS and statutory accounts against the Income-tax Act 2025 regime for 2026-27. |
Forms, registers and evidence checklist
| Document / record | What to include | Owner / authority |
|---|---|---|
| Plant feasibility | Site documents, industrial zoning, electricity and process risk sheet | Project file |
| Environmental | CTE/CTO and waste/emission permissions if applicable | State Pollution Control Board |
| Labour safety | Worker appointment, training, exposure, incident and OSH records | HR / EHS system |
| Conformity | BIS/sector certificates and per-batch testing evidence | QC file |
| Production finance | Bill of material, scrap, machine hours, inventory and GST accounts | ERP |

Financial model: revenue, profit and cash are different
| Input or result | Value | Meaning |
|---|---|---|
| Monthly volume | 5,200 saleable units | Retained, accepted or billable output—not merely enquiries/dispatches |
| Realised price | ₹610 | Net of refunds and indirect tax |
| Variable cost per unit | ₹430 | Direct cash costs allocated to the same billable unit |
| Fixed operating cash cost | ₹720,000 | Excludes depreciation, finance charges and income tax |
| Contribution per unit | ₹180 | Price minus variable unit cost |
| Break-even volume | 4,000 saleable units | Fixed cost ÷ contribution, rounded up |
| Capacity utilisation | 65.0% | Volume ÷ illustrative safe/saleable capacity |
Worked calculation: 5,200 × (₹610 − ₹430) = ₹936,000 contribution; less ₹720,000 fixed cash costs leaves ₹216,000 before financing, depreciation, tax and capital expenditure. A 10% fall in volume alone reduces contribution by ₹93,600. A 10% rise in unit variable cost alone reduces it by ₹223,600.
A second shift increases output but may not increase saleable output
A small manufacturer receives a large order and proposes overtime plus a second shift. The quoted margin assumes the daytime scrap rate and ignores inspection capacity, power interruptions and customer rejection risk.
Work through the decision
Run a controlled production trial using the intended material, tooling, crew and inspection method. Measure input consumption, first-pass yield, rework time, maintenance and accepted output. Check whether the existing premises, equipment and approval scope support the proposed activity and capacity; commercial urgency is not evidence of permission.
What to establish before proceeding
Commit delivery quantity against demonstrated accepted units, not machine nameplate speed. Retain the bill of materials, inspection plan, trial results, customer acceptance specification and incremental cash requirement. Price the order again when its rejection or credit terms differ from ordinary sales.
| Operating measure | Definition and use |
|---|---|
| First-pass yield | Units accepted without rework divided by units entering the process; do not count repaired items as first-pass output. |
| Contribution per bottleneck hour | Order contribution divided by the time used on the constrained machine or inspection station. |
| Rejected-stock exposure | Material and conversion cost tied up in rejected, quarantined or customer-disputed lots. |
This example is Finin2min’s operating analysis. Its commercial assumptions are not quoted market terms or a permit determination.
Common mistakes and how to avoid them
- Buying machinery before siting consent. Site/zoning/CTE approvals should precede irreversible spend.
- Treating CTE as CTO. Construction permissions do not necessarily permit commercial operation.
- Generic BIS logo. Certification depends on actual product and standard.
- Missing scrap and rework costing. Margin can be overstated despite healthy gross dispatch.
Practical 30/60/90-day implementation plan
| Period | Specific milestone |
|---|---|
| Days 1–30 | Confirm product specification, permitted premises and required product certification before ordering production machinery. |
| Days 31–60 | Validate suppliers and first articles; test traceability, waste segregation and customer inspection criteria. |
| Days 61–90 | Scale on accepted yield, downtime and debtor collection; schedule maintenance and reserve funding for work in progress. |

Which business model changes the legal answer?
| Situation | Exact action and proof of decision |
|---|---|
| Factory on industrial land | Industrial allotment is not automatically environmental consent, fire NOC or factory applicability clearance; map each independent authority. |
| Job-work unit | Identify who owns inputs/goods, invoicing classification, GST job-work movement timeline and safety responsibility under the contract. |
| Uses hazardous chemicals | Screen storage thresholds, hazardous waste, emergency response, fire and environmental consents; seek sector engineer review before keeping inventory. |
| Export production | Connect IEC, export inspection/product certifications, foreign buyer standards and remission/refund documentation. |
| Contract workers on site | Check principal-employer and contractor responsibilities under applicable Labour Codes/rules, ESI/EPF, welfare, site safety and payment proof. |
| Change raw material or output capacity | Reassess consent validity, product QCO and water/air permits before modification; initial certificates may not cover expansion. |
Complete execution SOP: what to do, in order
Prepare capacity and process map
Document input materials, dangerous chemicals, installed power, machines, water, effluents, emissions and waste types. Match projected capacities to site land-use permission and industrial estate lease conditions.
Request environmental applicability before equipment orders
Approach the relevant SPCB for category and consent-to-establish requirements under the Water/Air frameworks and sector directions where applicable. Record exemptions if officially documented. Plan any EIA/EC and waste authorisations separately.
Map factory and labour code requirements
Confirm factory/establishment classification, State and Central OSH rules, mandatory notices, qualified supervisors, health and safety provision, appointment letters and social security thresholds; check exact notified rules.
Validate product approval line by line
Check BIS Quality Control Orders and sector standards, weights/packaging, legal metrology, food/drug devices or battery e-waste obligations when product-dependent. Do not start commercial sale until mandatory certification is cleared.
Commission equipment safely
Complete commissioning inspection, earthing, guards, pressure vessel/boiler/lift and electrical safety where relevant, training, emergency drill and calibration master. Retain machine acceptance and contractor competence records.
Run commercial production with lot traceability
Set up BOM, standard scrap/yield, incoming QC, process QC, final inspection and dispatch. Trace raw lot through work order and finished batch; use scrap reconciliation and hazardous waste transfer documents.
Close monthly cost accounting
Reconcile raw-material purchases, stores consumption, WIP, output, rejects and inventory valuation. Review GST treatment of job work/scrap, e-way bills and production tax records, then margin by machine shift.
What to do when something goes wrong
| Real-world problem | Action, evidence and remedy |
|---|---|
| Serious machine injury | Provide urgent care, secure the machinery, preserve evidence and notify the relevant authority as applicable. Investigate root cause, corrective engineering controls and contractor risks before restart. |
| SPCB sampling exceedance | Stop or correct offending discharge, retain lab results, review treatment records, communicate under applicable consent/order and document approved corrective plan. |
| Defective lot at customer | Quarantine shipments, reconcile affected batch serial numbers, process CAPA and recall/replace under contract and any compulsory product standards. |
| Raw-material stock mismatch | Freeze disputed batch movements, trace goods receipt, gate logs, issue slips, scrap yield and purchase invoices; repair ERP controls after reconciliation. |
| Mandatory certification lapses | Suspend use of certification marking/affected dispatches; verify QCO status and restore approvals before restarting applicable sales. |
Contract clauses and counterparty safeguards
- Control who owns drawings, specifications, dies and customer intellectual property
- Define acceptance tests, sampling, lot rejection and claim window
- Allocate compliance for mandatory product certification and labels
- Set price change mechanism for commodity/material escalation
- Include safety, environmental, contractor and waste liability provisions

Stress tests, funding and month-end finance
| Stress / funding item | Illustrative result | Decision |
|---|---|---|
| Volume −20% and unit cost +10% | ₹-150,080 monthly operating result | Reduce avoidable fixed costs, reprice or improve retained volume before adding debt |
| An extra 30 days of collection delay | ₹3,172,000 additional receivables | Profit is unchanged initially, but cash is locked up |
| Startup equipment cash | ₹6,500,000 | Separate capital expenditure from operating cost |
| Refundable lease deposit | ₹800,000 | Not an ordinary monthly expense |
| Opening liquidity buffer | ₹1,600,000 | A planning assumption—not proof the business is adequately funded |

Commercial and legal decisions before spending
Approve the process and site together
A process-flow diagram should identify raw materials, machinery, power, fuel, water, effluent, air emissions, hazardous substances and waste. Check permitted industrial use and relevant pollution/factory requirements before ordering equipment. A landlord’s assurance, Udyam registration or a GSTIN is not a substitute for a site-specific permission. Changes in capacity, fuel, product or process may require an amendment before implementation.
Cost saleable output, not theoretical production
Start with material consumed divided by good units produced, including normal scrap and rework. Separate bottleneck capacity from nameplate capacity and planned downtime. Include variable power, tooling, consumables, packaging, inspection and freight to the contracted delivery point. Track abnormal loss separately so an operational failure is not hidden inside an apparently normal standard cost.
Choose make, buy or job work deliberately
Compare landed outsourced cost with incremental internal cost plus capacity displaced, quality assurance and working capital. A job-work contract should identify ownership of material, yield, scrap entitlement, rejection, transit risk, tax documentation and delivery acceptance. Sending material to a job worker does not eliminate the principal’s inventory and product-compliance responsibilities.
Fund the entire conversion cycle
Procurement advances, raw materials, work-in-progress, finished stock and customer credit can consume more cash than the machine deposit. Map receivable days, inventory days and supplier credit separately. Debt should match the asset or cash-cycle use; a short-term overdraft should not be assumed permanently available to fund a long-lived plant.

Monthly: stock count/valuation, cost-to-standard reconciliation, debtor ageing, statutory payments, covenant headroom and environmental conditions.
Respond to an incident without destroying evidence
Exit, sale, closure and continuing liabilities
Plan safe decommissioning before lease termination. Settle workers, customers, lenders and tax balances; dispose of hazardous material through authorised channels; remove utility and machine hazards; close or amend permissions and retain product traceability/warranty records. A factory sale needs explicit allocation of historical liabilities and approval-transfer requirements.
Closing evidence and liabilities
Business-specific questions answered
Does every unit need the same pollution consent?
No. Process, site, discharge, wastes and State Board categorisation matter.
Can I operate using only Consent to Establish?
Where Consent to Operate applies, it is a separate approval with operating conditions.
Is every factory automatically covered by exactly the same OSH filing?
No. Review actual establishment/worker/hazard classification and operative State rules.
Why compare cash conversion with accounting profit?
Receivables, raw materials and finished stock absorb cash even when accounts show profit.
The answers below address common real-world situations. Each must still be matched to the operator’s actual facts, current tax notification and State/local rules.
Do all manufacturing units need factory registration?
The applicable OSH classification, workforce, power use and State/Central notified rules determine coverage. Do not rely on an old single national employee threshold without checking current code and state provisions.
When can I order the machinery?
Do feasibility and land-use/environmental trigger reviews first; an ordered imported machine is not proof the manufacturing operation can lawfully begin.
What is consent to establish versus consent to operate?
Where State Pollution Control Board permissions apply, CTE is generally considered before establishing relevant facilities and CTO for operation; conditions, validity and exemptions are authority-specific.
Does BIS apply to every product?
No. Check the exact product, QCO scope, standard, effective date, certification scheme and exemptions; mandatory status is item-specific.
Can I sell goods made during a test-run?
Treat test production differently from authorised commercial sales and check whether pollution, factory and product certification approvals cover the trial output.
Are all industrial wastes hazardous?
No. Classify each waste stream by characteristics and applicable rules; preserve quantity, destination and licensed transporter/recycler evidence when required.
What if a customer rejects a batch?
Capture inspection data, sales contract acceptance criteria, batch history, root cause and negotiated credit/rework procedure; segregate physically and in ERP.
How do I calculate machine-hour cost?
Allocate depreciation/rental, operator, power, maintenance and approved overhead for the machine; divide by realistic productive hours rather than theoretical rated capacity.
What documentation is needed for labour contractors?
Keep scope, identity/licence/registration where applicable, wage and attendance evidence, ESI/EPF contribution records, safety induction and indemnity; ownership of statutory compliance cannot be contracted away blindly.
How should scrap sales be taxed?
Classify the scrap material by HSN and current rate notifications; keep weighbridge, output-yield and buyer invoice records instead of applying main-product GST automatically.
Can I shift production to a new shed under my old approvals?
Usually a new location requires a fresh site-specific applicability assessment. Verify changes with SPCB, factory authority, GST and product certification bodies.
What do I include in a monthly factory dashboard?
Track capacity utilisation, first-pass yield, defects, downtime, material variance, energy per unit, safety incidents, overdue corrective actions and contribution per product line.
Can I begin production while consent applications are pending?
An application acknowledgement is not itself permission to operate. Identify which approval is required before establishment and which before commercial operation. Keep the affected activity stopped until the competent authority’s required approval or a valid documented exemption is in place.
Does every manufactured product require a BIS licence?
No. BIS explains that certification is generally voluntary but becomes mandatory for products covered by QCOs. Match the actual product and effective date; do not infer exemption because a competing supplier is selling without a visible mark.
How do I measure true capacity?
Use the slowest process stage after planned downtime, changeovers and good-yield assumptions. Compare saleable capacity to the break-even volume. A plan requiring more than practical capacity cannot be rescued by merely increasing the revenue forecast.
Should scrap sale reduce material cost or be shown separately?
Apply a consistent accounting policy and maintain quantity/value records. Normal recoverable scrap may offset process cost, while abnormal loss requires visibility. Tax classification and documentation of scrap sales remain separate from management-cost presentation.
How should a customer rejection be handled?
Quarantine the batch, preserve inspection evidence, agree testing and replacement/credit terms and identify whether other lots are affected. Analyse cause and corrective action before restarting the same process. Allocate freight and rework costs under the contract rather than improvising at dispatch.
Is a machine loan the same as working capital?
No. Machinery funding normally finances a capital asset; stock, wages and receivables create recurring cash needs. Model both separately and match tenure and repayment to the cash generated. Undrawn sanctions and uncertain subsidies are not opening cash.
How do I quote when raw-material prices are volatile?
Use a dated quotation, validity period, price-adjustment basis, advance requirement and trigger for revised pricing. Stress-test the order at higher material cost and delayed payment. Do not promise a fixed price based on a supplier quote that expires before procurement.
Can I send work to an unapproved subcontractor?
Verify quality capability, required regulatory permissions, confidentiality and customer consent before allocating work. Your customer contract may restrict subcontracting; record custody and traceability even when the subcontractor purchases the materials.
What belongs in a capital-expenditure approval?
Compare total installed cost, commissioning, power/utility upgrades, spares, working-capital impact, expected yield and downside demand. Include taxes based on recoverability and test cash after debt service. Do not compare only the headline machine purchase price.
What should be tracked for imported machinery?
Classification, import policy, duties, conformity requirements, warranty/service access, installation, spares lead time and any scheme obligation. Confirm authorisation conditions before assuming concessional duty or an export-promotion benefit.
When is outsourcing financially better?
When the full incremental outsourced cost and risk are below internal avoidable cost plus the value of constrained capacity. Fixed expenses that cannot actually be removed are not immediate outsourcing savings. Test quality failures, freight and supplier dependence.
What does a lender need beyond a projected profit statement?
A source-and-use statement, promoter funds evidence, permissions, quotations, order assumptions, working-capital cycle, monthly cash forecast and debt schedule. Reconcile the opening balance sheet and show covenant sensitivity to lower utilisation and slower collections.
State/UT and city-level applicability test
- Is the chosen premises permitted for this exact business and capacity?
- Which State, city and sector permit applies to each activity and each operating location?
- Are there fire, building, waste, signage, labour or medical safety conditions for this site?
- Do thresholds, professional qualifications, inspection dates or renewals differ here?
- Has any 2026 amendment commenced, been notified or changed the relevant form/fee?
- Who is legally responsible for each filing, complaint, accident and customer refund?
