Foreign investment is not complete when the bank credits the money. The instrument must be permitted, shares must be issued within the governing timeline, and FC-GPR must match the corporate and banking record.
FC-GPR is filed for issue of equity instruments by an Indian company to a person resident outside India under the foreign-investment framework.
The company should validate sector, entry route, beneficial owner, pricing and instrument eligibility before accepting funds.
FC-GPR is generally filed within 30 days from the date of issue of the equity instruments.

A company receives USD 500,000 for optionally convertible preference shares and files FC-GPR after allotment. The filing label does not convert a debt-like or impermissible instrument into equity. The terms must first satisfy the foreign-investment rules.
Create a closing checklist that prevents receipt until the investor KYC, sector analysis, instrument terms, valuation and corporate approvals are ready. Link the bank credit to the share subscription agreement and authorised-dealer purpose.
After allotment, reconcile the board minutes, share certificates or demat credit, PAS-3, cap table and FC-GPR line by line. Respond to AD-bank queries promptly and preserve the final approved acknowledgement rather than only the initial submission screenshot.
Prepare a written status and transaction note. Identify the person or entity, tax residence, FEMA residence, source of funds, beneficial owner, counterparty, purpose and the official form or bank route. Review investor, instrument and price together. A bank account label, portal dropdown or adviser email should not be treated as the governing rule.
Reconcile the bank entry to the contract, form, asset or expense and preserve the official acknowledgement. Confirm that the same names, amounts, dates, currency and ownership appear in the tax return, FEMA report, demat or folio statement and financial statements where relevant. Correct discrepancies while the counterparty and bank can still reproduce the records.
At each year end, update the travel and residence memo, foreign-asset register, remittance register, tax-credit file and regulatory filing calendar. Review nominees, authorised signatories, tax IDs and portal access. A cross-border position should remain understandable to a successor professional without relying on the memory of the person who executed it.
Cross-border compliance is strongest when legal status, banking route, beneficial ownership, tax treatment and official reporting all tell the same story. Do not move money first and design the explanation later.
