The starting point is an acquisition-date business combination that meets the definition in Ind AS 103. Recognised consideration and the non-controlling interest are compared with the fair values of identifiable net assets. The excess may be goodwill; a negative difference is subject to reassessment and may trigger the standard’s bargain purchase accounting rather than an automatic ordinary-income gain.
For eligible present ownership interests, one acquisition may use NCI measured at its proportionate share of identifiable net assets, while another may use fair value. Proportionate NCI recognises goodwill related to the acquirer’s share; fair-value NCI can recognise goodwill attributable to both controlling and non-controlling owners. A user should select the applicable transaction policy and include evidence for fair value rather than infer it simply from purchase price.
Suppose a parent pays ₹95 lakh for 80% control of a business with identifiable net assets of ₹1.10 crore. A proportionate 20% NCI is ₹22 lakh; the acquisition bridge equals ₹95 lakh plus ₹22 lakh less ₹1.10 crore, giving ₹7 lakh goodwill. If independently measured NCI is ₹24 lakh, the full-goodwill result rises to ₹9 lakh. The difference represents an NCI measurement effect, not an operating earnings difference.
Confirm control and acquisition date, whether the acquired set is a business, fair-value step-ups, acquired intangibles, deferred taxes, contingent obligations, shares issued and transaction costs. Intercompany eliminations and post-acquisition profits belong in the consolidation process after this opening acquisition bridge. If there is a previously held stake, this simplified model is not sufficient.
The entry for consideration transferred should reflect the acquisition-date measurement principles, which can be broader than immediate cash paid. Issued shares and contingent consideration can materially change the bridge, and acquisition-related professional expenses are generally assessed separately from purchase consideration. An identifiable brand, customer relationship or inventory fair-value step-up affects net identifiable assets and therefore the amount of goodwill. Input only the reviewed purchase-price-allocation figures, not unadjusted book equity.
The opening NCI calculated here is not the closing NCI in consolidated accounts. Subsequent group profit attributable to outside shareholders, distributions, ownership changes and other comprehensive income alter the balance. Additional disclosures explain the business combination and estimates used. Where the acquisition is under common control or consideration is settled in stages, the accounting model may differ and this acquisition worksheet should not be used to generate a final journal without a separate specialist review.
Ind AS 103 allows a choice for each acquisition for present ownership interests: proportionate share of net identifiable assets or fair value. Fair value produces goodwill attributable to the non-controlling holders as well.
No automatic conclusion. First reassess the identification and measurement of assets and liabilities; recognition and tax treatment depend on the standard and the facts.
The method used to measure NCI changes the acquisition-date bridge.
No; it calculates only the acquisition-date consideration and NCI bridge.
