Fictional listed company has 10,00,000 fully paid ordinary shares of₹10, all dematerialised. Six direct natural-person holders; quarter ended 30 September 2026; model filed 20 October 2026.

Fictional, unsigned completed illustration. It demonstrates this form’s fields; it is not a filed return, medical opinion, official order or proof of an actual transaction.

When and how this form is used

Regulation 31’s ordinary quarterly clock is 21 days from quarter-end. September 30+21 days=21 October 2026; the model filing 20 October is one day early. Also evaluate the separate pre-listing and capital-restructuring event triggers; a quarterly due date does not override them.

Use the current Annexure 2 tables, including the 2025 changes to NDU/other-encumbrance information and Table VI foreign-ownership limits. Do not stop at a promoter/public summary or reuse a 2023 file without those changes. The selected Table VI expressly reports 24% board-approved limit and 0% utilisation for all five dates, using an assumed valid board decision; it does not represent the ordinary manufacturing sectoral cap as 0%.

Reconcile fully paid, partly paid, DR, voting, dilution and demat columns independently. Here each equals the stated fully paid shares and no conversion changes the denominator. Face capital is₹1 crore; market price and premium are not the percentage denominator.

All four public holders own 10%, so each must be named under the≥1% public-holder rule. Each has₹10 lakh nominal capital, therefore belongs above the₹2 lakh nominal-capital category. A direct natural-person shareholder is not automatically a separately reportable indirect SBO.

Promoter/public status depends on actual legal classification and relationships, not just percentage. The sample expressly assumes four unrelated public investors and no concert/control agreement; keep genuine classifications, PAN consolidation and any nil promoter rows in the actual filing.
