STK-3 A: authorised Government indemnity and the 2025 scope extension
An eligible administrative Ministry/Department representative gives the prescribed Government indemnity. The 2020 route covers specified wholly Government-held companies/subsidiaries; the 31 December 2025 amendment extends the route for Government-appointed/nominated directors in other Government companies, including subsidiaries.
Which version and who acts?

Check the dates, amounts and legal branch
- 60% Government ownership exceeds the section 2(45)51% company test on these assumed direct ownership facts, but is not 100%. This is why the example relies on the separate 2025 other-Government-company proviso rather than falsely claiming the 2020 wholly-held branch.
- Two Government nominees are distinct from all three directors. The authorisation and bond scope must identify the actual covered directors; do not apply the exception to every private nominee.
- The 2025 notification adds a further proviso; it is not merely a new job-title spelling or a general exemption from all strike-off attachments.
Prepare, submit and retain the evidence
- Verify Government-company status, exact capital ownership, subsidiary facts and appointment/nomination records; identify the correct 2020 or 2025 branch.
- Obtain genuine administrative Ministry/Department authorisation and an eligible-rank representative; complete the prescribed Government indemnities and required execution.
- Attach authentic authority and bond to the actual STK-2; obtain any ordinary-director STK-3 and other necessary attachments independently.
