DPT-2: secured-deposit trust deed
The company executes a genuine deposit trust deed with eligible trustee(s) before issuing a secured-deposit circular. DPT-2 is a deed containing substantive scheme, security, trustee, reporting and default covenants; it is not an insurance application or annual return.
Which version and who acts?
Current Rule 7(2) deed requirement; read the original prescribed covenant blocks with 2018 omission of Rule 5 insurance and current trustee eligibility/removal conditions. Model is a 2026 secured member-deposit scheme.
Company and actual eligible independent deposit trustee(s); genuine execution, security creation and supporting approvals remain necessary.
Actual Government-form reproduction DPT-2 physical pp 1–5, scheme/charge/trustee/reporting/default covenant headings; Rule 7(1)–(4). Original Gazette-style short scan printedp 32 is supplemented by this complete typed prescribed reference.

Fictional example — not for filing. Same fictional₹20 lakh secured deposit scheme as DPT-1. Assume written trustee consent 5 October 2026, appointment 8 October and a real-required deed date 10 October; circular 21 October. Example Independent Deposit Trustees Private Limited is a fictional independent trustee. Actual security is assumed only, not created by this worksheet.
| Prescribed field / block | Completed fictional entry |
|---|---|
| Scheme covenants 1–4 | Working-capital purpose; maximum₹20 lakh;12-month deposit from 1/11/2026;8% simple annual interest, quarterly₹40,000; principal₹20 lakh due 31/10/2027. Actual deed must bind timely principal/interest payment and lawful redemption terms. |
| Charge particulars 1–8 | Assumed first-ranking charge over identified fictional company equipment; market value₹30 lakh; secure principal₹20 lakh+₹1.6 lakh annual interest. Actual title/valuation/priority must be proved; no further encumbrance without trustee approval; subsequent valuation covenant required. |
| Original insurance heading | No insurer or policy invented. Read the specimen’s historical insurance block with operative 2018 omission of Rule 5; it is not a current statutory mandate to buy the abolished deposit-insurance cover. |
| Trustee appointment / fees / powers | Written consent 05/10/2026; assumed Board appointment 08/10/2026. Fictional independent trustee; fee₹10,000 per year, actual agreed documented expenses. Assess every Rule 7 disqualification; no real trustee authority conferred. |
| Reporting covenants | Apply proceeds only to stated purpose; supply true business/security information, report material management changes/default promptly; no dividend until matured deposits/interest paid or satisfactorily provided for, as prescribed. |
| Default / enforcement / depositor meetings | Failure to pay due principal/interest and other actual deed defaults trigger lawful trustee protection/enforcement; preserve actual notices and remedies. A default does not give a model user ownership of security. |
| Execution and property schedules | Actual parties, asset identification, powers, authorised execution/stamping and required charge-registration documents must be completed. Not signed. No DSC, certification, SRN, filing or approval has occurred. |
The named fields illustrate this scenario. The official reference contains the additional applicable fields, schedules, attachments and declarations. Synthetic identifiers are not valid input for a live filing. No signature, certification, authority action or successful filing is represented.
Check the dates, amounts and legal branch
- 10 October→21 October is 11 days, at least 7 days before the circular under Rule 7(2). Trustee written consent precedes appointment; appointment precedes the assumed deed.
- ₹20,00,000+₹1,60,000=₹21,60,000 secured obligation under the assumption. ₹30,00,000/₹21,60,000≈1.389 times; actual valuation/perfection and continuing cover are separate tests.
- Omission of deposit insurance does not omit the trustee/deed/security framework. A director, KMP, employee, depositor, prohibited relative, indebted/materially connected person or guarantor cannot be assumed an eligible trustee.
- Removal during the relevant term needs consent of all directors present; at least one independent director must be present where the company is required to have independent directors. This is more specific than ordinary majority Board approval.
Prepare, submit and retain the evidence
- Establish genuine secured-deposit eligibility, actual security/property/valuation and the proposed trustee’s written consent and every disqualification check.
- Agree and lawfully execute the complete prescribed-covenant deed at least 7 days before circular issue; align the real scheme, payment dates, valuation, trustee powers, reporting, default and enforcement provisions.
- Perfect and register actual security where required; publish the genuine trustee-consent statement in the circular and maintain actual monitoring, deposit records and repayment evidence.
