DIR-11: director’s optional resignation intimation
A resigning director may forward the resignation and detailed reasons to the Registrar. The company has its own mandatory resignation-reporting duty. Effective resignation is governed by receipt and the notice’s specified date, not by an invented Board acceptance requirement.

Check the dates, amounts and legal branch
- Later of 1 October receipt and 10 October specified date is 10 October 2026. A Board meeting held later does not move that statutory effective date in this example.
- Section168(1) proviso and current Rule16 use may: DIR-11 is optional for the resigning director. If used, the prescribed 30-day window from resignation is distinct from the company’s mandatory DIR-12 clock.
- The company’s Rule15 intimation runs from receiving the notice, while the optional director intimation runs from resignation. Here 21 October is within both 1 October +30 =31 October and 10 October +30 =9 November; the two triggers must not be collapsed.
Prepare, submit and retain the evidence
- Deliver a real written notice, preserve actual receipt and determine the later statutory effective date; separately assess any special office or contractual consequences.
- If using the optional Registrar route, complete the exact DIR-11 notice/effective dates, reasons and confirmation, and attach genuine dispatch/acknowledgement records.
- Track the company’s mandatory DIR-12 and website/directors-report duties separately; retain actual acknowledgements and the continuing past-tenure liability trail.
