SEBI’s January 2025 clarification explains the scope. The substance of conduct matters: a disclaimer does not cure activity that is actually regulated advice or research.
General explanation of diversification or how an index works is different from telling a specific person to buy a security based on their portfolio. Public stock calls, target prices, model portfolios and paid groups can also raise research or advisory questions.
Compensation should be disclosed clearly. Affiliate links, broker referrals, gifts and revenue sharing can create material conflicts.
Screenshots of profit without losses, capital base, period and audited evidence are misleading. Deleted losing calls and selective testimonials distort performance.

A content creator posts “educational only” but sells a ₹25,000 private group that gives daily buy prices, targets and stop losses tailored to subscriber capital. The disclaimer is not decisive. The conduct may fall within regulated activity and can also breach association or advertising rules for participating intermediaries.
Investors should verify registration on SEBI’s official resources and complain first to the intermediary where relevant. Eligible securities-market grievances may be filed through SCORES. Fraud or unauthorised account access should be reported immediately to the broker, bank and law enforcement.
